BUSINESS LOGO DESIGN AGREEMENT

This Business Logo Design Agreement (the Agreement) is entered into by and between:

RECITALS

WHEREAS, Client desires to engage Designer to create original logo artwork and related branding deliverables in accordance with the specifications and schedule set forth in this Agreement; and

WHEREAS, Designer represents that Designer has the professional skill, expertise, and capacity to perform design services and to deliver original creative works for Client; and

WHEREAS, the parties desire to set forth their respective rights, duties, and obligations with respect to the design, delivery, acceptance, payment, and ownership of the logo and related deliverables.

SCOPE OF WORK

Designer shall provide professional logo design services and related branding artwork as described below. The parties acknowledge that the precise specifications, quantities, and milestones are binding as part of this Agreement.

PAYMENT TERMS

Client shall pay Designer the Fees set forth below. All amounts are stated in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on the Effective Date and, unless earlier terminated in accordance with this Agreement, continues until completion of the Services and final delivery of all paid-for deliverables.

Termination for Cause: Either party may terminate immediately if the other materially breaches this Agreement and fails to cure within days after written notice. Upon termination, Client shall pay Designer for work performed and expenses incurred through the termination date.

CONFIDENTIALITY

Each party shall maintain in confidence all proprietary or confidential information disclosed by the other party that is marked or reasonably understood to be confidential. Confidential information does not include information that is publicly known or independently developed without use of the other's confidential information. Obligations of confidentiality survive termination for a period of three (3) years.

INTELLECTUAL PROPERTY AND LICENSE

Designer warrants that all final deliverables will be original to Designer and will not knowingly infringe third-party intellectual property rights. Subject to full payment of all Fees, Designer assigns to Client all right, title, and interest in and to the final approved logo artwork, including copyrights, worldwide and in perpetuity. Designer retains the right to use preliminary concepts and final work in Designer's portfolio and marketing materials, provided such use does not disclose Client confidential information.

Notwithstanding assignment of final deliverables, Designer shall retain the right to reuse design elements in generic form that are not unique to Client's brand identity where such reuse does not create confusion with Client's trade dress.

ACCEPTANCE AND SUPPORT

WARRANTIES, INDEMNITY, AND LIABILITY

Designer warrants that Services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING, DESIGNER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Each party shall indemnify and hold harmless the other from and against liabilities, losses, and expenses arising out of breaches of representations, willful misconduct, or gross negligence. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO DESIGNER UNDER THIS AGREEMENT.

TAXES AND EXPENSES

Client is responsible for all taxes, duties, and fees arising from the transactions hereunder, excluding taxes based on Designer's net income. Reasonable out-of-pocket expenses incurred by Designer in the performance of Services shall be reimbursed by Client if pre-approved in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or written change orders executed by the parties, constitutes the entire agreement between Client and Designer concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any modifications must be in writing and signed by both parties.
