BUSINESS LOGO DESIGN AGREEMENT

Parties

This Agreement is entered into between Client Name: , Client Address: (hereinafter "Client"), and Designer Name: , Designer Address: (hereinafter "Designer").

Recitals

WHEREAS, Client desires to procure professional logo design services for the project identified as Project Name: ; and

WHEREAS, Designer represents that Designer has the professional skill, experience, and resources necessary to provide such services in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the design, delivery, licensing, and payment for the logo work.

Scope of Work

Designer shall provide logo design services as described below. The Scope of Work shall include project research, initial concepts, revisions as provided below, and delivery of final files in agreed formats.

Revisions and Change Orders

Client is entitled to Number of Included Revisions: on selected concept(s) as set forth in the Scope of Work. Additional revisions beyond the included revisions shall be subject to Additional Revision Fee: per revision or as set forth in a written change order.

Payment Terms

Total Fee: . Unless otherwise agreed in writing, Client shall pay a non-refundable Deposit: upon execution of this Agreement, with the balance due upon completion of the work and prior to release of final editable source files.

Late payments shall incur a Late Fee of on overdue amounts, in addition to any reasonable collection costs and interest permitted by law. Client is responsible for any applicable taxes.

Term and Termination

This Agreement commences on Start Date: and shall continue through End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least Notice Period (days): days prior to termination. In the event of termination for cause by Client due to Designer's material breach, Designer shall be entitled to payment for work performed through the effective date of termination. Upon termination, Designer shall deliver all completed work and Client shall pay all outstanding amounts due for services rendered and non-cancellable expenses.

Confidentiality

"Confidential Information" means all nonpublic information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Each party shall use at least reasonable care to protect the other party's Confidential Information and shall not disclose such information to any third party except as required to perform this Agreement or as required by law. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without restriction, or was independently developed without use of the disclosing party's Confidential Information.

Ownership and License

Upon receipt of full payment, Designer assigns to Client all right, title, and interest in the final delivered logo artwork, excluding Designer's pre-existing materials, templates, and third-party elements not created for Client. Designer retains the right to use non-confidential final and preliminary designs in Designer's portfolio, marketing materials, and exhibitions unless Client has checked Confidential Portfolio Restriction and paid any additional fee:

Designer warrants that Designer will not knowingly incorporate any third-party copyrighted material into the final deliverables without permission; to the extent third-party materials are included, Designer will disclose such materials and obtain appropriate licenses or require Client to do so.

Representations, Indemnity, and Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Client shall defend, indemnify, and hold harmless Designer from claims, liabilities, damages, and costs arising from Client-provided materials or Client's use of the deliverables beyond the scope of the license granted. Designer's total liability for claims arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Designer under this Agreement. Neither party shall be liable for consequential, incidental, special, or punitive damages.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Governing Jurisdiction: , without regard to its conflict-of-law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If negotiation fails, disputes shall be resolved by binding arbitration or in the courts located in the governing jurisdiction as selected by the parties.

Entire Agreement

This Agreement, including any exhibits, attachments, and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, proposals, and understandings. No amendment shall be effective unless in writing and signed by both parties.
