BUSINESS LOUNGE USAGE AGREEMENT

This Business Lounge Usage Agreement (the Agreement) is entered into effective as of by and between:

WHEREAS

WHEREAS, Provider operates a business lounge and ancillary facilities located at (the Facilities) and offers access to qualified clients on the terms set forth herein;

WHEREAS, Client desires to obtain a limited license to use the Facilities for professional meetings, temporary workspace, and related services in accordance with the scope and schedule agreed by the parties; and

WHEREAS, the parties desire to reduce their agreement to writing to define the rights and obligations of each party with respect to access, payment, confidentiality, and liability.

SCOPE OF WORK

Provider grants Client a non-exclusive, revocable license to use the Facilities during the Term for the purposes described below. Client's use is subject to Provider's reasonable rules, directions, and capacity limits.

PAYMENT TERMS

Client shall pay Provider the fees described below in consideration for the license and services. All amounts are stated in U.S. dollars and are payable in cleared funds.

Unpaid amounts shall accrue interest as set forth above from the due date until paid. Client shall also reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in enforcing payment obligations.

TERM AND TERMINATION

The Term of this Agreement shall commence on and shall expire on unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement immediately upon written notice for material breach by the other party that remains uncured for a period of thirty (30) days following written notice. Provider may immediately suspend Client's access to the Facilities upon nonpayment or for conduct presenting a safety risk.

CONFIDENTIALITY

"Confidential Information" means non-public information of a party disclosed in connection with this Agreement, including business operations, client lists, pricing, technical information, and proprietary processes. Each party shall: (a) hold Confidential Information of the other in strict confidence; (b) use Confidential Information only to perform its obligations under this Agreement; and (c) restrict access to those employees, agents, or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those contained herein.

The obligations in this Section shall survive termination or expiration of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

INSURANCE AND RISK ALLOCATION

Client shall maintain commercial general liability insurance covering its activities in the Facilities with limits not less than those specified below and shall name Provider as an additional insured where reasonably requested.

Client accepts responsibility for its property and personal effects and releases Provider from damage or loss except to the extent caused by Provider's gross negligence or willful misconduct.

INDEMNIFICATION

Client shall indemnify, defend, and hold harmless Provider, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Client's use of the Facilities, breach of this Agreement, or acts or omissions of Client's invitees or contractors, except to the extent caused by Provider's gross negligence or willful misconduct.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR A BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties agree that exclusive venue for disputes shall be the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement (including all Schedules and attachments, if any) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in connection with a sale of substantially all of its business assets.
