BUSINESS LOXS DOCUMENT

This General Business Agreement (the Agreement) is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Client requires written statements, explanations, and corroborative exhibits (collectively, the Letters of Explanation or LOXs) regarding certain business transactions, practices, or representations to be prepared and delivered to Client or Client's designees; and

WHEREAS, Service Provider has the skill, experience, and personnel necessary to prepare and deliver the LOXs in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the preparation, delivery, and use of the LOXs.

SCOPE OF WORK

Service Provider shall prepare, document, and deliver Letters of Explanation that accurately describe and, where appropriate, reconcile or clarify business transactions, representations, or records specified by Client. Each LOX will include factual statements, supporting citations to documents provided by Client, and, if requested, suggested corrective language for third‑party submission.

PAYMENT TERMS

Client shall pay Service Provider for the services described in the Scope of Work in accordance with the amounts and schedule set forth below. All fees are exclusive of taxes unless otherwise expressly stated.

If any undisputed amount due hereunder is not paid within days after the due date, Client shall pay interest on the overdue amount at the lesser of (a) per month or (b) the maximum rate permitted by law. In addition, Client shall be responsible for reasonable costs of collection, including attorneys' fees, for amounts past due.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and reasonable expenses incurred through the effective date of termination. Service Provider shall deliver to Client all drafts, final LOXs, and other work product for which Client has paid.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means nonpublic information disclosed by a party (Disclosing Party) to the other party (Receiving Party) that is designated confidential or that reasonably should be understood to be confidential. Confidential Information includes business plans, financial information, client lists, and the content of LOXs.

Receiving Party shall: (a) maintain Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except as expressly permitted in writing; and (c) use Confidential Information solely to perform its obligations under this Agreement.

The obligations in this Confidentiality section shall survive termination of this Agreement for the period specified above and shall survive to the extent necessary to protect trade secrets for as long as permitted by law.

REPRESENTATIONS; WARRANTIES; COMPLIANCE

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that the LOXs will be prepared with reasonable care and professionalism consistent with industry standards, but makes no warranty as to the outcome of any third‑party review, approval, or acceptance of the LOXs.

Client warrants that it will provide Service Provider with accurate, complete, and non‑misleading information and all documents reasonably necessary for Service Provider to prepare the LOXs. Client is responsible for the truthfulness of the underlying facts supporting any LOX.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved as set forth in this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, written or oral. No amendment, modification, or waiver of any provision of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign this Agreement to an affiliate or in connection with a sale of substantially all of its assets.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may designate by written notice.
