What the Business LR Form covers

The Business LR Form (Letter of Representation or comparable business representation form) documents an authorized person or entity acting on behalf of a company for a defined purpose. It identifies the business, the representative, the scope of authority, effective dates, and any limitations. Organizations use it to create a clear record of who may negotiate, sign, or receive sensitive documents on the company’s behalf, and to reduce downstream disputes about authority and responsibilities.

Why this form matters for compliance and transactions

A clear Business LR Form reduces ambiguity about signing authority, creates an auditable record for internal controls, and supports compliance with counterparties, banks, and regulators. It helps prevent fraud, speeds document processing, and provides evidence of delegated authority when disputes arise.

Why this form matters for compliance and transactions

Who typically prepares and signs a Business LR Form

Common preparers include corporate counsel, finance teams, compliance officers, and authorized managers responsible for delegations of authority.

  • Corporate leadership and executives who delegate signing authority for transactions and contracts.
  • Finance and treasury teams establishing who can open accounts, endorse checks, or negotiate financing.
  • Legal and compliance staff documenting representation for vendor agreements, mergers, or regulatory filings.

Use the form to document temporary delegations as well as standing authorizations; keep a central record for audit and governance purposes.

Essential elements to include in a professional Business LR Form

A complete Business LR Form combines identity, scope, timing, authority limits, signatures, and supporting attachments to be legally and operationally effective.

Effective Dates

Start and end dates or an event-based termination (for example, 'until revoked in writing') that determine when the delegation is active.

Signature Block

Authorized signatory block for both the business and the representative, including printed names, titles, and dates to create an enforceable record.

Attachments

Supporting documents such as board resolutions, power-of-attorney excerpts, or government filings that evidence the authority being delegated.
