What the Business LTI Template Is and When It Applies

A Business LTI Template is a standardized agreement used to grant long-term incentives — such as restricted stock units (RSUs), performance shares, or stock options — to employees, executives, or contractors. It defines grant size, vesting schedule, performance metrics, tax treatment, and post-termination treatment so both issuer and recipient understand rights and obligations. The template can be adapted for equity or cash-based LTIs, linked to performance targets, and incorporated into an equity plan or employment agreement. It is routinely executed electronically where ESIGN and state law permit.

Why a Clear LTI Template Matters for Businesses

A precise LTI template reduces ambiguity about vesting, taxation, and repurchase rights, which lowers risk and supports consistent administration across recipients and business units. Standardization speeds approvals and helps ensure compliance with securities, tax, and employment rules while preserving the company's ability to adapt awards to performance outcomes.

Why a Clear LTI Template Matters for Businesses

Who typically prepares or receives a Business LTI Template

The template is used by HR, compensation teams, legal counsel, finance, and senior executives when documenting long-term incentive grants.

  • HR and Compensation Teams: Draft and manage award schedules and participant communications, ensuring consistent plan administration and recordkeeping.
  • Legal and Corporate Counsel: Review vesting, change-in-control protections, and securities disclosures for regulatory compliance and enforceability.
  • Recipients and Finance: Recipients verify personal and tax data; finance confirms withholding, accounting treatment, and reporting.

Multiple parties collaborate during execution; clearly defined roles reduce approval friction and downstream disputes.

Primary document users

Compensation Manager

Responsible for configuring awards, verifying eligibility, and ensuring vesting schedules match board-approved plan documents. Works with payroll for tax withholding and reporting.

General Counsel

Reviews legal terms, confirms securities-law compliance, advises on tax and change-in-control clauses, and approves final form before issuance to recipients.

Core sections to include in a professional Business LTI Template

A complete LTI template organizes grant mechanics, participant obligations, and administrative provisions so awards are legally enforceable and operationally clear.

Grant Terms

Identify award type, number of units or target value, grant date, and grant identifier used for plan records and accounting.

Vesting Schedule

Specify time-based or performance-based vesting milestones, cliff provisions, acceleration triggers, and effective dates for each tranche.

Performance Metrics

Define objective targets, measurement periods, calculation methodology, and any adjustment rules tied to corporate or divisional performance.

Tax Withholding

Describe withholding method, participant election options for tax withholding, and treatment of employer payroll taxes and reporting obligations.

Change-in-Control

State what happens on acquisition or termination events: acceleration, conversion, or cash-out mechanics and any board discretion.

Repurchase/Forfeiture

Set out conditions for forfeiture, repurchase price mechanics, post-termination exercise windows, and treatment of unvested awards.

Step-by-step: completing and issuing an LTI award

Follow these sequential steps to prepare, approve, and deliver an LTI award with clear audit trails and accurate payroll handoff.

  • 01
Draft Award: Populate template fields with award specifics and attach board approval documentation.
  • 02
Legal Review: General counsel confirms securities and tax language, including any required disclosures.
  • 03
Approvals: Obtain required signoffs from CFO, CEO, and compensation committee as applicable.
  • 04
Issue and Record: Deliver award to recipient, capture signatures, and update payroll and equity ledger records.

Digital workflow settings for issuing LTI awards

Configure these workflow elements to support secure e-signing, verification, and automated routing during issuance.

Field Configuration
Authentication Email link with optional SMS code or KBA for high-value awards
Template Fields Use conditional fields for elections and computed fields for tax calculations
Approvals Set role-based signer order and conditional approver routing
Recordkeeping Enable audit trail and attach board resolution PDFs

Platform and file requirements for e-signing LTI documents

Ensure the chosen platform supports required file types, integrations, and authentication used for awards.

  • File Formats: PDF and DOCX are standard for template import and export
  • Integrations: Connectors for HRIS, payroll, and equity ledgers reduce manual entry
  • Authentication: SMS or KBA enhances signer identity assurance

Confirm platform meets compliance needs (audit trail, data encryption) before sending awards to recipients.

Typical electronic signing flow for a Business LTI Template

This sequence describes the standard online signing path from sender setup to completed records.

  • Upload Template: Sender uploads finalized LTI template to the signing platform
  • Place Fields: Add signature, date, and conditional election fields
  • Send to Signer: Dispatch via email link or bulk send for multiple recipients
  • Complete & Archive: Signer completes form; platform stores audit trail

Timing considerations and deadlines for LTI administration

Track these dates to meet tax reporting, board approvals, and participant notification obligations.

Grant Date:

Establishes award effective date and accounting period impact

Board Approval:

Complete prior to grant issuance to validate plan authority

Participant Notification:

Deliver award documentation promptly to enable elections

Tax Reporting:

Coordinate with payroll for year-end reporting and 1099/W-2 timing

Exercise/Settlement:

Monitor post-termination exercise windows and expiration dates

Common pitfalls when preparing an LTI template

  • Vague vesting language that leaves measurement or rounding rules undefined, causing disputes at payout time.
  • Mismatched names or incorrect TINs that trigger withholding errors or delay tax reporting and payments.
  • Failing to align plan documents with board resolutions and equity plan terms, risking invalid awards.
  • Missing election or tax-withholding options for participants leading to unanticipated payroll adjustments and compliance issues.

Key risks and consequences of errors in LTI documents

Tax Withholding Errors: May trigger employer liability and reporting corrections
Securities Non-Compliance: Improper distribution or disclosure can lead to enforcement risk
Invalid Grant Terms: Ambiguous vesting can spawn litigation or forfeiture disputes
Missing Approvals: Awards lacking board approval may be voidable
Data Entry Mistakes: Incorrect amounts or dates cause accounting and payroll adjustments
Improper Signature: Unsigned or improperly executed awards may be unenforceable

Real-world examples of electronic award execution

Organizations across sizes use templates and e-signature workflows to speed award issuance and maintain compliance.

Tim Martin, Martin Properties

Tim’s team adopted electronic execution for equity awards to support remote signings and compliance.

  • Platform mobile signing improved turnaround for recipients.
  • He reports consistent, auditable records and fewer errors when matching awards to payroll despite staff working offsite.

Kodi-Marie Evans, Xerox

Xerox integrates award templates with back-office systems to automate record updates.

  • Integration reduced manual ledger updates.
  • The integration ensures awards created in HRIS map directly to equity accounting and minimizes reconciliation work.
