What the Business MAC Template Is

The Business MAC Template is a standardized corporate form used to document a Material Adverse Change (MAC) notice or a management authorization change in a commercial relationship. It captures the triggering event, the specific contractual provisions affected, the requested remedy or adjustment, and the parties’ agreed timeline for review and response. The template is intended to create a clear, auditable record for internal approvals, counterparty notice, and any subsequent regulatory or litigation needs, and is adaptable to use in procurement, financing, vendor management, and contract amendment workflows.

Why a Clear MAC Template Matters

Using a consistent Business MAC Template reduces ambiguity about what changed, who has authority to act, and how remedies will be handled. A well-structured template speeds internal approvals, preserves evidence for disputes, and helps ensure compliance with contractual notice requirements and applicable electronic signature laws such as the ESIGN Act and state UETA statutes.

Why a Clear MAC Template Matters

Who Typically Completes a Business MAC Template

Clear role segmentation helps avoid duplicate notices, missed deadlines, and unauthorized commitments.

  • General counsel and corporate counsel preparing formal notices and assessing legal exposure across contracts.
  • Finance and treasury teams documenting impacts on covenants, credit facilities, or financial reporting.
  • Contract or vendor managers issuing or receiving change notices and tracking remediation steps.

Representative Signatory Profiles

General Counsel

The General Counsel prepares or reviews MAC notices, confirms legal sufficiency, and coordinates external counsel when necessary. They ensure the notice language aligns with contract definitions and preserves privilege while advising on acceptance, dispute, or escalation options.

Chief Financial Officer

The CFO evaluates materiality from a financial perspective, documents covenant impacts, and authorizes remedial actions or waivers. They coordinate with treasury and lenders to confirm whether immediate notifications to creditors are required under loan agreements.

Core Elements to Include in the Business MAC Template

A robust template groups essential content so reviewers can find facts quickly and signers can act with confidence.

Heading and Parties

Clear names and contact details for the sending party, recipient, and any affected third parties; list legal entity names rather than trade names.

Trigger Description

Concise factual account of the event or condition constituting the MAC, including dates, locations, and supporting identifiers such as invoice or contract numbers.

Contract Citation

Reference the precise contract section, exhibit, or clause being invoked so the recipient can verify the contractual basis without interpretation.

Requested Remedy

Specific proposed actions or relief (suspension, cure period, price adjustment) and any deadlines for acceptance or performance.

Authority and Approval

Name, title, and evidence of authority for the person issuing the notice; attach internally signed approval or board minutes as needed.

Signatures and Dates

Signature blocks for authorized signers with printed name, title, date, and a check box for whether notarization or witness is required.

Step-by-Step: Completing and Issuing a Business MAC Template

Follow this sequence to prepare a legally clear MAC notice and reduce the risk of procedural defects.

  • 01
Draft Notice: Populate template fields and attach supporting exhibits.
  • 02
Internal Review: Obtain legal and finance sign-off before sending.
  • 03
Execute and Sign: Authorized signer signs; notarize if required by contract.
  • 04
Deliver Notice: Send via agreed contract method and retain delivery proof.

Online Workflow for eSubmitting the Business MAC Template

A typical eSubmission workflow reduces manual handoffs while preserving an audit trail for future review.

  • Upload Document: Upload the template to the eSignature platform and set required fields.
  • Assign Signers: Add signer emails and define signing order or roles.
  • Authenticate Signers: Select email, SMS, or stronger authentication as needed.
  • Send and Track: Distribute the signing link and monitor completion with the audit trail.

Common Mistakes to Avoid When Preparing a MAC Notice

  • Using vague language about the event or impact instead of precise dates and contract citations, which delays counterparty response and hinders dispute resolution.
  • Failing to obtain internal approvals before sending the notice, exposing the organization to unauthorized commitments or inconsistent remedies.
  • Not confirming required delivery methods under the contract (email, certified mail, or courier), which can invalidate the notice timing and cure periods.
  • Overlooking notarization or witness blocks when the jurisdiction or contract requires them, creating enforceability problems later.

Typical Timing and Response Windows to Include

Include clear calendar-based timelines so both sides understand response and cure windows tied to the effective date.

Notice Effective Date:

Specify MM/DD/YYYY as the date the notice is served

Acknowledgment Window:

Require recipient to acknowledge receipt within 3–5 business days

Cure Period:

State specific cure days per contract, often 10–30 days

Escalation Deadline:

Set date to escalate to senior management or mediation

Final Resolution:

Record agreed amendment date or dispute start date
