BUSINESS MAIL MERGE TEMPLATE

RECITALS

WHEREAS, Client Name: (the "Client") desires to engage Provider Name: (the "Provider") to prepare, configure and deliver mail merge templates and related mail lists; and

WHEREAS, the Provider has the expertise and resources to design mail merge templates, manage merge fields, and deliver data in agreed formats for the Client's business communications;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the parties agree as follows:

SCOPE OF WORK

The Provider shall design, populate, test and deliver a mail merge template and associated recipient data as described below. The Provider will perform the work in a professional manner consistent with industry standards and will deliver the final template in the agreed format.

MERGE FIELD SPECIFICATION

The following merge fields will be included unless otherwise modified in writing. Additional custom fields may be added in the scope of work.

PAYMENT TERMS

In consideration for the services rendered by the Provider, the Client shall pay the Provider as follows:

Payments not received within thirty (30) days of invoice due date shall be subject to the late fee stated above and interest where permitted by law. The Client shall also reimburse Provider for reasonable collection costs and attorneys' fees incurred to recover overdue amounts.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience by providing the other party written notice as set forth above. Either party may terminate immediately for material breach, including but not limited to repeated failure to deliver or payment default, if the breaching party fails to cure within ten (10) days following written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party to the other, whether orally or in writing, including recipient lists, template designs, business rules, and data. The receiving party shall: (a) use Confidential Information solely for performance of this Agreement; (b) restrict disclosure to employees, contractors or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) take commercially reasonable measures to protect Confidential Information. Confidential Information does not include information that is or becomes publicly available without breach, or that is independently developed or lawfully obtained from a third party.

The obligations under this Section shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as permitted by applicable law.

INTELLECTUAL PROPERTY; DATA OWNERSHIP

The Client retains ownership of all original Client data provided to the Provider. Upon full payment, the Client shall receive a perpetual, nonexclusive license to use the delivered mail merge template and output files for the Client's business purposes. The Provider retains ownership of any Provider-prepared proprietary tools, templates, or methodologies, provided that the Provider grants the Client the rights necessary to use the deliverables as contemplated by this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction set forth below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remainder shall remain valid and enforceable to the fullest extent permitted by law. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets.
