BUSINESS MAIL SYSTEM LEASE AGREEMENT

This Business Mail System Lease Agreement ("Agreement") is entered into by and between Lessor Name: with principal address at , and Lessee Name: , with principal address at .

WHEREAS

WHEREAS, Lessor is the owner or authorized lessor of the business mail system equipment described below and is duly authorized to lease such equipment; and

WHEREAS, Lessee desires to lease the equipment for use in Lessee's business operations and Lessor is willing to lease the equipment to Lessee on the terms and conditions set forth herein.

WHEREAS, the parties intend by this Agreement to set forth the terms of lease, maintenance obligations, payment, and other rights and remedies.

Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the following equipment (the "Equipment"): Make/Model/Serial Number(s):

Lessor shall deliver, install, and make operational the Equipment at Lessee's premises identified above. Lessor shall provide initial training to Lessee's designated operators and shall perform maintenance and repair services as specified below. Lessee shall operate the Equipment in accordance with Lessor's instructions and applicable postal regulations.

3. Payment Terms

Lease Payment Amount: Lessee shall pay to Lessor a lease payment in the amount of per .

Late Payment and Interest: Any overdue amount shall accrue interest at the rate of per month (or the maximum rate permitted by law), plus reasonable costs of collection, including attorneys' fees.

4. Term and Termination

Commencement Date: This Agreement commences on and shall continue until the Expiration Date: , unless earlier terminated in accordance with this Agreement.

Renewal: The Agreement may be renewed by written agreement of the parties signed prior to the Expiration Date.

5. Delivery, Installation and Title

Delivery and Installation: Lessor shall deliver and install the Equipment at Lessee's premises at Lessor's expense unless otherwise agreed. Lessee shall provide reasonable access and utilities required for installation.

Title: Title to the Equipment shall remain with Lessor. Lessee shall not encumber, sell, or transfer the Equipment. Lessee shall notify Lessor immediately of any levy, lien, or claim against the Equipment.

6. Maintenance, Repair and Upgrades

Maintenance Obligations: Lessor shall provide scheduled maintenance and repair services as necessary to maintain the Equipment in good operating condition, subject to normal wear and tear. Lessee shall notify Lessor promptly of any malfunction and shall not perform unauthorized repairs.

7. Insurance, Taxes and Compliance

Insurance: Lessee shall, at its expense, maintain insurance covering loss, theft, and damage to the Equipment with Lessor named as loss payee or additional insured as reasonably requested by Lessor.

Taxes and Fees: Lessee shall be responsible for all taxes, levies, or assessments arising from Lessee's possession, use, or operation of the Equipment during the Term, excluding taxes based on Lessor's income.

8. Confidentiality

Each party shall keep confidential and shall not disclose to any third party any confidential or proprietary information of the other party disclosed in connection with this Agreement, except as required by law or with the prior written consent of the disclosing party. Confidential information expressly includes operational procedures, postage usage data, system configuration, and pricing terms. The obligations in this Section survive termination of this Agreement for a period of three (3) years.

9. Indemnification and Limitation of Liability

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement, gross negligence or willful misconduct.

Limitation of Liability: EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY LESSEE TO LESSOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Default and Remedies

Upon Lessee's default in payment or other material breach, Lessor may, in addition to other remedies, suspend maintenance, recover possession of the Equipment, and pursue damages. Lessor's recovery of the Equipment shall be without prejudice to Lessor's right to recover unpaid amounts, damages, and costs of removal.

11. Assignment and Subleasing

Lessee shall not assign, pledge or otherwise transfer its rights or obligations under this Agreement, nor sublease the Equipment, without Lessor's prior written consent, which consent shall not be unreasonably withheld.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any dispute arising hereunder shall lie in the state or federal courts located within that state.

13. Entire Agreement; Modification

This Agreement, together with any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. No amendment or modification shall be effective unless in writing and signed by both parties.

14. Miscellaneous

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
