This Business Services Agreement (the "Agreement") is made and entered into effective as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain professional services as set forth in this Agreement; and

WHEREAS, Service Provider has the expertise, personnel, and resources necessary to perform such services and is willing to perform those services under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing.

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services"). The Services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Service Provider for the Services in accordance with the following payment terms.

Late payments shall bear interest, and Client shall be responsible for reasonable collection costs as provided below.

The late fee specified above shall be applied to any invoice not paid within days after delivery of invoice. Interest shall accrue monthly at the rate set forth above or the maximum rate permitted by law, whichever is less.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate for material breach if such breach remains uncured after thirty (30) days' written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public, proprietary, or confidential information of the other party (the "Disclosing Party") disclosed in connection with this Agreement, except as permitted below.

Confidential information does not include information that: (a) is or becomes generally known to the public through no act or omission of the Receiving Party; (b) was rightfully known by the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information; or (d) is rightfully obtained from a third party without restriction and without breach of obligation to the Disclosing Party.

The Receiving Party may disclose Confidential Information to its employees, contractors, and professional advisors on a need-to-know basis provided that such persons are bound by confidentiality obligations consistent with this Agreement. The obligations under this clause shall survive termination of this Agreement for a period of three (3) years, or longer to the extent required for trade secrets under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

The parties agree to attempt to resolve disputes in good faith through negotiation. If unresolved, disputes shall be resolved by binding arbitration administered in accordance with commercially reasonable arbitration procedures selected by the parties, and judgment on the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of Parties: Service Provider is an independent contractor and not an employee, agent, or partner of Client for any purpose. Service Provider shall be solely responsible for withholding and payment of all employment taxes, workers' compensation, and similar statutory obligations with respect to its personnel.

Indemnification: Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and expenses arising from the indemnifying party's breach of this Agreement, willful misconduct, or negligence.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, nationally recognized overnight courier, or certified mail (return receipt requested), and shall be effective upon receipt.
