Business Mall ROA

This Retail Operating Agreement ("Agreement") is entered into as of by and between Mall Operator: and Merchant: .

WHEREAS

WHEREAS, Mall Operator owns, manages and operates the shopping mall known as located at (the "Premises"); and

WHEREAS, Merchant desires to operate a retail business at Unit No. within the Premises for the purposes and on the terms set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SCOPE OF WORK

Merchant shall use the Premises for retail sale of goods and related services described below. Merchant shall perform all duties necessary to operate the business in a professional commercial manner, comply with mall rules, and maintain the Premises in a safe, clean and sanitary condition.

2. PAYMENT TERMS

Merchant shall pay Mall Operator the Rent and other charges as set forth below. All sums are payable in lawful currency on the dates and in the manner described.

3. TERM AND TERMINATION

The term of this Agreement shall commence on and shall expire on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the applicable notice period. Upon termination, Merchant shall vacate the Premises and return possession in broom-clean condition, reasonable wear and tear excepted.

4. CONFIDENTIALITY

Each party acknowledges that during the term of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, operational and customer information disclosed in any form. Each receiving party shall (a) hold Confidential Information in strict confidence, (b) use such information solely to perform its obligations hereunder, and (c) not disclose such information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as stringent as those herein. Confidential Information shall not include information that is publicly available without breach of this Agreement or independently developed by the receiving party.

Upon termination or expiration of this Agreement, the receiving party shall promptly return or destroy all Confidential Information and certify such return or destruction in writing upon request.

5. INSURANCE, INDEMNITY AND LIABILITY

Merchant shall maintain commercial general liability insurance, property insurance for its inventory, and any other coverage reasonably required by Mall Operator. Merchant shall indemnify, defend and hold harmless Mall Operator and its agents from and against any claims, losses or liabilities arising out of Merchant's operations, negligence or willful misconduct, except to the extent caused by Mall Operator's gross negligence or willful misconduct.

6. COMPLIANCE WITH LAW AND MALL RULES

Merchant shall at its expense comply with all applicable laws, ordinances and regulations and with reasonable mall rules and directives promulgated by Mall Operator. Mall Operator may promulgate reasonable operating rules to promote safety, customer flow and the commercial reputation of the Premises; Merchant shall abide by such rules so long as they are applied uniformly.

7. ASSIGNMENT

Merchant shall not assign or transfer its interest in this Agreement without Mall Operator's prior written consent, which consent shall not be unreasonably withheld for bona fide transfers to an affiliate or purchaser of substantially all of Merchant's assets pertaining to the business at the Premises.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute shall lie in the state or federal courts located in the county in which the Premises are located.

9. ENTIRE AGREEMENT

This Agreement, together with any Schedules or Exhibits attached hereto and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations and understandings. No modification of this Agreement shall be effective unless in writing and signed by both parties.

10. NOTICES

All notices hereunder shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth below or to such other address as either party may designate by notice to the other.
