BUSINESS MANAGEMENT ADDENDUM

This Business Management Addendum (the "Addendum") is entered into as of and supplements the Agreement referenced below between the parties.

WHEREAS

WHEREAS, the Client and Manager are parties to the Agreement, and the parties desire that Manager provide business management services on the terms set forth in this Addendum; and

WHEREAS, the parties wish to document the scope of services, compensation, confidentiality obligations, and other terms applicable to Manager's performance of management duties as an amendment to the Agreement.

SCOPE OF WORK

Manager will provide business management and advisory services as described below. Manager's responsibilities shall include, but are not limited to, the tasks identified in Attachment A and the description provided in the field below.

PAYMENT TERMS

Management Fee: Client shall pay Manager a fee as compensation for services rendered.

Late fee: Unpaid amounts shall accrue interest at % per month (or the maximum permitted by law), calculated monthly on outstanding balances.

TERM AND TERMINATION

Term: This Addendum commences on and, unless earlier terminated in accordance with this Addendum, shall continue until .

Either party may terminate this Addendum for convenience upon providing written notice to the other party at least days prior to the effective termination date. Termination for cause may occur immediately upon written notice if the non‑breaching party reasonably determines the other party has materially breached and fails to cure within 15 days of written notice.

CONFIDENTIALITY

Each party agrees that, during the Term and for a period of years thereafter, it shall keep confidential and not disclose to any third party Confidential Information of the other party except as required by law or as expressly permitted in writing. "Confidential Information" includes non‑public business, financial and operational information, client lists, pricing, and trade secrets provided or accessed in connection with this Addendum.

The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination, the receiving party shall promptly return or destroy Confidential Information as directed by the disclosing party.

INDEPENDENT CONTRACTOR; RELATIONSHIP

Manager is an independent contractor and not an employee, partner or agent of Client. Manager shall have sole responsibility for all employment and tax obligations for its personnel. The parties agree that Manager does not have authority to bind Client except as expressly provided in the Agreement or this Addendum.

Manager affirms it is an independent contractor and will be responsible for its own payroll, benefits, and tax obligations.

LIABILITY AND INDEMNIFICATION

Each party shall indemnify and hold harmless the other from and against all claims, losses, liabilities, damages and expenses arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Addendum. Except for a party's indemnification obligations, neither party shall be liable to the other for consequential, incidental, punitive or special damages.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements. Except as expressly modified herein, the Agreement remains in full force and effect. No amendment to this Addendum shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Notices under this Addendum shall be given in writing to the addresses set forth above or to such other addresses as the parties may designate in writing. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
