Parties and Engagement

This Business Management Analysis Agreement (the "Agreement") is entered into effective as of by and between:

Recitals

WHEREAS, Client requires a comprehensive review of its management practices, organizational structure, processes, and performance metrics to identify efficiencies, risks, and opportunities for improvement; and

WHEREAS, Consultant represents that it has the expertise, personnel, and experience necessary to perform a business management analysis and to provide professional recommendations and implementation guidance; and

WHEREAS, the parties wish to set forth the terms and conditions under which Consultant will perform such analysis and related services.

Scope of Work

Payment Terms

Client shall pay Consultant in consideration for the performance of the Scope of Work as follows:

Invoices are due within days of invoice receipt. Late payments shall incur interest at percent per month (or the maximum permitted by law, if lower), plus reasonable collection costs and attorneys' fees.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party that is not cured within 14 days after written notice specifying the breach. Termination will not relieve Client of its obligation to pay for services performed and expenses incurred prior to termination. Provisions that by their nature survive termination (including confidentiality, indemnity, and payment obligations) shall survive.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that a reasonable person would understand to be confidential under the circumstances, including financial information, business plans, trade secrets, customer lists, and technical data. The receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses with its own confidential information, but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes publicly available without breach of this Agreement; (ii) is rightfully obtained by the receiving party from a third party without restriction; (iii) is independently developed by the receiving party without use of Confidential Information; or (iv) is required to be disclosed by law, provided the receiving party gives prompt written notice and cooperates in any protective action.

The confidentiality obligations set forth in this section shall continue for a period of three (3) years following termination of this Agreement, except that trade secrets shall remain confidential for as long as they qualify as trade secrets under applicable law.

Intellectual Property and Work Product

Unless otherwise agreed in writing, Consultant retains ownership of methodologies, tools, templates, and other pre-existing intellectual property. Upon payment in full of amounts due under this Agreement, Consultant grants to Client a non-exclusive, non-transferable license to use deliverables for Client's internal business purposes. Client shall not distribute, publish, or commercially exploit deliverables without Consultant's prior written consent.

Representations; Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Consultant warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR CONSULTANT'S WARRANTY SET FORTH ABOVE, SERVICES ARE PROVIDED "AS IS" AND CONSULTANT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. CONSULTANT'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO CONSULTANT UNDER THIS AGREEMENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be resolved in the state or federal courts located in the chosen jurisdiction, and each party consents to personal jurisdiction and venue in such courts.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above, or to such other address as a party may designate in writing, and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or by nationally recognized overnight courier.
