What the Business Management Memo Is and When It’s Used

A Business Management Memo is an internal written record used to communicate decisions, assign tasks, request approvals, or summarize key management actions. It typically identifies the sender and recipients, states the effective date, summarizes background facts, details the requested action or decision, and lists any attachments or supporting documents. Organizations use these memos for board updates, policy changes, project approvals, vendor authorizations, and audit trails. Although usually internal, some memos become part of compliance or personnel files and should be preserved according to applicable retention rules.

Why a Clear Business Management Memo Matters

A well-crafted memo creates a single authoritative record of decisions and responsibilities, supports internal controls, and can serve as admissible evidence when combined with a reliable signature method. Electronic execution follows the ESIGN Act (15 U.S.C. ch. 96) and state UETA rules; exceptions apply for certain statutory documents, so confirm applicability before relying on an e-signature.
