Termination shall not relieve either party of obligations incurred prior to the effective date of termination.

MANAGEMENT REPRESENTATIONS

Manager represents and warrants to Client that, to the best of Manager's knowledge as of the date hereof:

  1. All information provided by Manager to Client for the performance of services is true, complete and not misleading in any material respect.
  2. Manager has the full power and authority to enter into this Agreement and to perform its obligations hereunder and such execution does not violate any contractual or legal obligation.
  3. Manager will perform services with reasonable care, skill and diligence consistent with industry standards and applicable law.
  4. Manager has disclosed to Client all actual or potential conflicts of interest that could materially affect the performance of the services.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive or have access to Confidential Information of the other party. "Confidential Information" means all non-public information disclosed in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to (i) hold Confidential Information in strict confidence; (ii) not disclose Confidential Information to any third party except as permitted under this Agreement; and (iii) use Confidential Information solely to perform its obligations under this Agreement.

Confidential Information does not include information that (a) is or becomes generally available to the public other than through a breach of this Agreement, (b) was already known to the receiving party without restriction at the time of disclosure, (c) is received from a third party without breach of any obligation of confidentiality, or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification, amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by both parties.

INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of representations, warranties or material obligations under this Agreement, except to the extent such loss arises from the gross negligence or willful misconduct of the indemnified party.
