RECITALS

WHEREAS, the Service Provider is engaged in the business of delivering business management services, operational procedures, and oversight functions as described in this Agreement; and

WHEREAS, the Client desires to retain the Service Provider to perform managed business operations and related standard operating procedures on the terms and conditions set forth herein; and

WHEREAS, the parties intend that the operational procedures, responsibilities, performance standards, and payment terms described below shall be binding and enforceable as part of this Agreement.

Invoices shall be issued by the Service Provider in accordance with the Payment Schedule. Unless otherwise agreed, all amounts due under this Agreement shall be payable within the time specified on the applicable invoice and are exclusive of taxes which will be charged in addition where required by law.
