WHEREAS, Client Name engages Business Manager to perform management and oversight services for the Client's business operations, financial reporting and administrative functions during the Report Period;

WHEREAS, Business Manager has prepared this Business Manager Report to document activities performed, attest to the accuracy of the reported information, and establish agreed compensation and performance expectations; and

WHEREAS, the parties desire that deliverables, payment terms, confidentiality, term and termination provisions, and governing law be recorded in this document and form a binding agreement between Client Name and Business Manager.

Either party may terminate this Agreement without cause upon written notice delivered at least prior to the effective termination date. Immediate termination for cause shall be permitted if a party materially breaches a material obligation and fails to cure within 15 days after written notice of such breach.

Upon termination, Business Manager shall provide a final accounting and transfer of records; Client shall pay all accrued fees and reimbursable expenses through the date of termination. Sections that by their nature survive termination (including Confidentiality and Governing Law) shall continue in force.

Confidentiality

Each party shall treat as confidential all nonpublic information disclosed in connection with performance under this Agreement. "Confidential Information" includes financial data, trade secrets, customer lists, pricing, business plans, and other proprietary information, whether verbal, written or electronic.

Confidential Information shall not include information that: (a) is or becomes publicly available other than through a breach of this Agreement; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of Confidential Information. Each party may disclose Confidential Information if required by law, provided the disclosing party gives prompt notice and cooperates with reasonable efforts to obtain protective relief.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising out of this Agreement.

Entire Agreement

This document, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior oral or written agreements, proposals, negotiations and communications. Any modification must be in writing and signed by both parties.
