Recitals

WHEREAS, Mandator (Principal) Name: is engaged in the business of providing certain commercial services and desires to appoint an agent to perform specified business functions on its behalf; and

WHEREAS, Mandatary (Agent) Name: has represented that it has the skill, experience and capacity to undertake the tasks described in this Mandate; and

WHEREAS, the parties wish to set forth the terms upon which Mandatary will act as agent for Mandator pursuant to the authority granted in this Business Mandate Document effective as of Effective Date:

Scope of Work

Mandatary shall perform the services and duties described below and any related tasks reasonably necessary for their completion. Mandatary shall act only within the authority expressly granted by this Mandate.

Authority and Limitations

Mandator grants Mandatary the authority to act as agent for the limited purposes set forth under Scope of Work. Mandatary shall not incur any obligation or liability on behalf of Mandator except as expressly authorized in writing. Any authority to execute contracts, incur indebtedness, or transfer assets must be specifically described in an executed writing signed by Mandator.

Payment Terms

All payments due to Mandatary under this Mandate are net of all taxes, unless otherwise agreed. Mandatary shall provide written invoices in accordance with the Payment Schedule and Mandator shall pay undisputed amounts within the period specified above.

Term and Termination

This Mandate shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Mandate for convenience upon written notice delivered to the other party not less than Notice Period (days): days in advance. Termination for cause may occur immediately for material breach if the breaching party fails to cure within a reasonable cure period following written notice.

Confidentiality

Each party will maintain as confidential all non-public information disclosed by the other party in connection with this Mandate, including business plans, financial information, customer lists, trade secrets and technical data ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no breach of this provision or which is independently developed without use of the other party's Confidential Information.

The receiving party shall use Confidential Information only for purposes of performing its obligations under this Mandate and shall restrict disclosure to employees, contractors or advisors who need to know and who are bound by confidentiality obligations at least as protective as those herein.

Indemnification

Each party shall indemnify and hold harmless the other party and its officers, directors and employees from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from any breach of this Mandate, negligent acts, willful misconduct, or violation of applicable law by the indemnifying party in the performance of its duties hereunder.

Notices

All notices, demands or communications required or permitted under this Mandate shall be in writing and delivered to the addresses below by hand, certified mail, or nationally recognized overnight courier, and shall be effective upon receipt.

Governing Law; Severability; Entire Agreement

This Mandate shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

If any provision of this Mandate is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

This Mandate constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. No amendment to this Mandate will be effective unless executed in writing by both parties.

Miscellaneous Provisions

Assignment: Neither party may assign or delegate its rights or obligations under this Mandate without the prior written consent of the other party, which consent shall not be unreasonably withheld.

Relationship of the Parties: The relationship between the parties is that of principal and independent contractor. Nothing in this Mandate creates an employment, partnership or joint venture relationship.

Acknowledgment

Each party acknowledges that it has read this Mandate, understands its terms and enters into it voluntarily. Each signatory represents that they are authorized to bind the party for which they sign.
