Business Manifest

This Business Manifest (the "Agreement") is made effective as of between:

WHEREAS

WHEREAS, Party A is engaged in the operation of a business offering products, services, and logistical coordination as described in this Manifest; and

WHEREAS, Party B desires to retain Party A to perform the services and manage the described business activities on the terms set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth a consolidated record of the obligations, deliverables, timing, and commercial terms for the activities identified in the Manifest.

SCOPE OF WORK

The parties agree that Party A shall perform the work described below and any mutually agreed changes. Party A shall exercise commercially reasonable skill and care in the performance of the services.

PAYMENT TERMS

In consideration for the Services, Party B shall pay Party A in accordance with the following terms. All payments are due in the currency specified in the invoice and are exclusive of taxes unless otherwise indicated.

Late payments shall incur interest at the lesser of 1.5% per month or the maximum rate permitted by law, calculated from the due date until paid in full. All collection costs, including reasonable attorneys' fees, shall be recoverable by the prevailing party.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with the provisions below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the Notice Period after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party acknowledges that, in the course of performance, it may receive Confidential Information of the other party. "Confidential Information" includes non-public business information, trade secrets, technical data, pricing, customer lists, and any information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The recipient shall: (a) hold the Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use the Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except persons who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination for a period of three (3) years, except for trade secrets which remain protected for as long as permitted by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

REPRESENTATIONS; AUTHORITY

Each party represents and warrants that it has the full power and authority to enter into this Agreement and that the person signing on its behalf is duly authorized to bind such party. Each party agrees to comply with all applicable laws and regulations in the performance of its obligations under this Agreement.
