BUSINESS MANUAL AND IMPLEMENTATION AGREEMENT

WHEREAS

WHEREAS, Company desires to adopt and implement a formal Business Manual that codifies operational procedures, employee responsibilities, and compliance requirements to be followed by Company personnel and contractors; and

WHEREAS, Provider has expertise in preparing, documenting, and delivering business manuals, including procedures for revision control, distribution, and training; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality and other terms governing the preparation, delivery, and adoption of the Business Manual as set forth herein.

SCOPE OF WORK

Provider shall prepare, deliver, and assist with implementation of the Business Manual according to the following scope. The manual shall include documented policies, procedures, job descriptions, escalation paths, and revision controls sufficient to support Company operations and regulatory compliance.

POLICIES, PROCEDURES, AND MANUAL CONTENT

The Business Manual shall include, at a minimum, the following sections: Operational Procedures, Human Resources Policies, Health & Safety, Information Security, Records Retention, Customer Service Standards, and Compliance Obligations. Each section shall identify responsible roles and required records.

PAYMENT TERMS

In consideration for the services described in this Agreement, Company shall pay Provider in accordance with the terms below.

Payments not received within thirty (30) days of an invoice due date shall accrue the Late Payment Fee set forth above, and Company shall reimburse Provider for reasonable collection costs, including attorneys' fees, if collection becomes necessary.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated as provided below.

Upon termination for any reason, Provider shall deliver to Company all completed work products and any in-progress materials for which Company has paid. Termination shall not relieve the obligation to pay accrued fees for services performed prior to termination.

CONFIDENTIALITY

Each party (Receiving Party) shall hold in confidence, and shall not disclose to any third party, all Confidential Information disclosed by the other party (Disclosing Party). "Confidential Information" includes the Business Manual drafts, templates, internal policies, proprietary processes, and any non-public business information. Confidential Information does not include information that is (i) publicly known without breach of this Agreement, (ii) known independently by Receiving Party prior to disclosure, or (iii) rightfully received from a third party without restriction.

The confidentiality obligations shall survive termination of this Agreement for a period of years, except with respect to trade secrets, where obligations shall continue for as long as the information qualifies as a trade secret.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits, appendices, and written amendments signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
