CONFIDENTIALITY

"Confidential Information" means all non-public, proprietary, or commercially sensitive information disclosed in connection with this Manual, whether oral, written, or electronic. Each receiving party shall: (a) use Confidential Information solely for the purposes of implementing and complying with this Manual; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential materials but no less than reasonable care; and (c) not disclose Confidential Information except to employees, agents, or contractors who have a need to know and are bound to confidentiality obligations no less restrictive than those herein. Confidentiality obligations survive termination for a period of five (5) years, or longer where required by applicable law.

GOVERNING LAW

This Manual and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes.

ENTIRE AGREEMENT

This Manual, including all schedules, addenda, and exhibits expressly incorporated, constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral.
