CONFIDENTIALITY

Each party shall (i) use Confidential Information only for the purposes of performing its obligations under this MAP; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than a reasonable standard of care; and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors with a need to know who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly known through no breach of this MAP, or is rightfully received from a third party without restriction.

GOVERNING LAW & DISPUTE RESOLUTION

This MAP shall be governed by and construed in accordance with the laws of Governing Jurisdiction: , without regard to conflict of laws principles. The parties shall first seek to resolve disputes through good faith negotiation. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration in the chosen jurisdiction unless the parties mutually agree otherwise. Nothing in this section limits a party's right to seek injunctive relief for breaches of confidentiality or intellectual property.

MISCELLANEOUS; ENTIRE AGREEMENT

Any amendment or modification of this MAP must be in writing and signed by authorized representatives of both parties. Neither party may assign its rights or delegate its obligations under this MAP without the prior written consent of the other party, except to an affiliate or in connection with a merger, sale of substantially all assets, or change of control, provided the assignee assumes the assigning party's obligations.
