PAYMENT TERMS

The Client shall compensate the Service Provider in accordance with the amounts and schedule specified below. All invoices shall be accompanied by supporting detail sufficient to substantiate billed amounts. Unless otherwise specified, invoiced amounts are due within the stated payment period following invoice date.

If any invoiced amount is not paid when due, interest will accrue at the rate specified above and Client shall reimburse Service Provider for reasonable costs of collection, including legal fees and expenses, to the extent permitted by applicable law.

TERM AND TERMINATION

This Report documents services rendered during the reporting period and is subject to the broader engagement terms between the parties. The reporting obligations and payment obligations described herein commence and terminate as follows.

Confidential Information shall include non-public business, financial and technical information disclosed in connection with this Report. Each party shall hold Confidential Information in confidence and shall not disclose it to any third party except as necessary for performance, as required by law, or with the other party's prior written consent.

GOVERNING LAW

This Report and any dispute arising out of or relating to it shall be governed by the laws of the jurisdiction specified below without regard to conflicts of law principles. ENTIRE AGREEMENT

This Report, together with any attachments and any master services agreement between the parties, constitutes the entire agreement with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the same subject matter. No modification shall be effective unless in writing and signed by authorized representatives of both parties.
