BUSINESS MARINA AGREEMENT

Parties

Recitals

WHEREAS, Client operates a commercial or private vessel or marina-related business and seeks the provision of berthing, mooring, maintenance and related facilities at the marina located at (the "Marina"); and

WHEREAS, Marina Operator owns, manages and operates the Marina and is willing to provide berthing, vessel services and other agreed services to Client under the terms set forth in this Agreement effective as of .

WHEREAS, the parties wish to set forth their respective duties, payment obligations and protections with respect to the services described herein.

Scope of Work

Marina Operator shall provide the services agreed to by the parties and described below. Services will be provided in a professional manner consistent with industry standards and applicable law.

Payment Terms

Client shall pay Marina Operator for services performed in accordance with the amounts and schedule set forth below. All amounts are payable in lawful currency and exclusive of taxes unless otherwise stated.

Unpaid amounts more than the agreed due date shall accrue the agreed late fee and Marina Operator may suspend services or remove Client's access to the Marina until accounts are brought current. Client shall also be responsible for reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Marina Operator may immediately terminate or suspend services where Client's continued use would create an imminent hazard or violate environmental laws.

Confidentiality

Each party shall hold in confidence and not disclose to any third party any non-public business or technical information disclosed by the other party in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is or becomes publicly known through no breach by the receiving party, independently developed without use of Confidential Information, or rightfully received from a third party without restriction.

Insurance and Indemnity

Client shall maintain, at its expense, liability and property insurance, including marine liability and property damage insurance, in amounts sufficient to cover claims arising from Client's use of the Marina. The parties agree to indemnify and hold each other harmless from claims arising out of their respective negligence or willful misconduct, subject to limitations set forth in this Agreement.

Environmental Compliance

Client shall comply with all applicable federal, state and local environmental laws and Marina policies regarding fuel handling, waste disposal, and spill prevention. Client is responsible for promptly reporting any spill, discharge or release to Marina Operator and to the appropriate authorities and for all costs of remediation caused by Client's operations.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles.

Entire Agreement

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals and communications, whether written or oral. Any amendment must be in writing and executed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a sale of all or substantially all of its assets or business to which this Agreement pertains.
