BUSINESS MARKETPLACE AGREEMENT

This Business Marketplace Agreement (the Agreement) is entered into as of Effective Date: , (the Effective Date), by and between:

RECITALS

WHEREAS, Marketplace Operator operates an online marketplace platform that facilitates the listing, discovery, and sale of goods and/or services to end customers; and

WHEREAS, Vendor offers goods and/or services and desires to list and sell such goods and/or services through the Marketplace Operator's platform under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

SCOPE OF WORK

Marketplace Operator will provide the marketplace platform, listing functionality, transaction processing interface, and basic technical support. Vendor will list products and services, maintain accurate item descriptions, fulfill customer orders, and provide customer service related to Vendor's offerings. Specific obligations, deliverables, performance standards, and acceptance criteria are described below:

PAYMENT TERMS

Vendor shall pay Marketplace Operator fees for use of the platform as set forth below. Fees are exclusive of applicable taxes unless otherwise stated.

All undisputed sums not paid when due shall accrue interest at the rate specified above and Vendor shall be responsible for all reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: , and shall continue until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above following written notice. Marketplace Operator may suspend Vendor's access to the platform immediately where necessary to protect customers, marketplace integrity, or comply with law.

CONFIDENTIALITY

Each party (Recipient) shall hold in confidence Confidential Information of the other party (Discloser) and shall not use or disclose such Confidential Information except as necessary to perform its obligations under this Agreement. Confidential Information means non-public information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Confidentiality obligations do not apply to information that: (a) is or becomes public other than by a breach of this Agreement; (b) was rightfully known to Recipient prior to disclosure; (c) is independently developed without use of Discloser's Confidential Information; or (d) is required to be disclosed by law, provided Recipient gives Discloser prompt notice and cooperates in any available protective measures. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

INDEMNIFICATION; LIMITATION OF LIABILITY

Vendor shall indemnify, defend and hold Marketplace Operator harmless from and against any third-party claims arising out of Vendor's listings, products, services, or breach of this Agreement. Marketplace Operator shall indemnify Vendor for claims arising from Marketplace Operator's gross negligence or willful misconduct in operating the platform. Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, except for liability arising from willful misconduct, gross negligence, or a party's indemnification obligations. The aggregate liability of each party for direct damages shall not exceed the total fees paid or payable by Vendor to Marketplace Operator in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the chosen state for disputes arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Marketplace Operator may assign to an affiliate or in connection with a merger or sale of substantially all its assets.

Notices: All notices shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
