What a Business Markup Agreement Is and When It’s Used

A Business Markup Agreement is a written contract that sets out how a reseller, distributor, contractor, or service provider applies price markups, fees, or margins to goods or services sold on behalf of another party. Typical elements include the markup schedule, eligible products or services, invoicing and payment terms, responsibilities for taxes or duties, and dispute resolution provisions. These agreements are commonly used in channel sales, procurement, subcontracting, and managed services arrangements. Electronic execution is generally accepted in interstate commerce under the ESIGN Act (15 U.S.C. ch. 96, 2000) and state UETA laws.

Why a Clear Markup Agreement Matters for Business Operations

A concise Business Markup Agreement reduces pricing disputes, clarifies invoicing and audit obligations, and documents responsibilities for taxes and refunds. When combined with retained electronic records and an audit trail, it supports enforceability under ESIGN (15 U.S.C. §7001) and UETA-compliant workflows.

Why a Clear Markup Agreement Matters for Business Operations

Core Components to Include in a Professional Business Markup Agreement

Include these key sections to make the agreement operational, auditable, and legally predictable across industries and jurisdictions.

Parties

Full legal names and entity types for all parties, including doing-business-as names and the signing representative’s authority and title; include EIN where tax reporting is relevant.

Effective Date

Clear effective date and duration, including renewal and termination mechanics; the date affects billing cycles, statutory periods, and retention timelines.

Markup Schedule

A precise pricing table or formula describing percentages, fixed fees, tiered discounts, volume thresholds, and exclusions tied to SKUs or service codes.

Payment Terms

Invoicing cadence, net terms, late fees, responsibility for taxes or duties, acceptable payment methods, and any required supporting documentation.

Audit & Records

Rights to audit, required supporting documentation, record retention periods, confidentiality obligations, and procedures for resolving discrepancies.

Governing Law

Choice of law and venue clauses, plus any arbitration or mediation requirements; specify the state law that will interpret the agreement.

Step-by-Step: Completing a Business Markup Agreement

A focused sequence helps avoid rework and accelerates approvals for pricing and reselling arrangements.

  • 01
Prepare Template: Assemble standard clauses, markup tables, and exhibits.
  • 02
Populate Parties: Enter full legal names and representative details.
  • 03
Define Markups: Specify formulas, thresholds, and exceptions with examples.
  • 04
Execute and Archive: Obtain signatures, record audit trail, and store copies.

How to Configure an Online Markup Agreement Workflow

Common online settings reduce signer friction and ensure reliable execution and recordkeeping.

Field Configuration
Authentication Email link or SMS code; use stronger KBA for high-value deals
Conditional Fields Show markup fields only when relevant product codes are selected
Bulk Send Enable for repeated reseller agreements across similar counterparties
Template Save Store versioned templates with named placeholders for fast reuse

Digital Signing and File Format Considerations

Ensure your eSigning platform supports secure PDF and Word workflows, audit trails, and the authentication level you require.

  • Integrations: Salesforce, NetSuite, Google Workspace support
  • File Formats: PDF and DOCX accepted
  • Security Standards: TLS in transit; AES-256 at rest

Confirm platform security certifications and available APIs before wide deployment; choose a provider that supports required compliance frameworks.

Typical eSigning Flow for a Markup Agreement

A standard online execution path minimizes delays and preserves the audit trail required for enforcement and tax compliance.

  • Upload Document: Import PDF or Word template into the signing platform.
  • Add Fields: Place signature, date, and conditional markup fields.
  • Send to Signers: Distribute via email link or bulk send as required.
  • Store Signed Copy: Archive final PDF and certificate of completion.

Who Commonly Prepares or Signs Markup Agreements

Different teams draft, approve, and sign these agreements depending on organization size and the commercial channel involved.

  • Reseller managers and channel sales teams negotiating margin and pricing terms with partners.
  • Procurement and vendor management teams controlling approved supplier markups and invoicing procedures.
  • Finance and accounts payable teams verifying payment terms, tax handling, and audit rights.

Align drafting ownership with the group that will manage billing and compliance to reduce downstream disputes.

Typical Signatories and Their Roles

Authorized Signer — CFO

A chief financial officer or delegated finance director typically signs for material financial commitments; include a corporate resolution when authority is delegated to a manager or agent to avoid later challenges.

Vendor Representative — Sales Director

A sales or channel director often signs for reseller arrangements; ensure the signer’s title and capacity are recorded and that any required corporate approvals are attached.

Security and Compliance Items to Include

Encryption: TLS 1.2/1.3; AES-256 at rest
Audit Trail: Time-stamped signatures with IP and event log
HIPAA BAA: Required when PHI is present
SOC 2: Type II report available on request
21 CFR Part 11: Compliant where FDA-regulated records apply
Access Controls: Role-based permissions and SSO

Common Preparation Errors to Avoid

  • Vague markup language that uses terms like 'market rate' without a defined formula, leading to inconsistent invoicing.
  • Omitting signer capacity or authority details, which can result in enforceability disputes and require ratification.
  • Failing to specify tax responsibility, which can lead to unexpected liability or incorrect invoicing across jurisdictions.
  • Neglecting retention and audit provisions, impairing the ability to substantiate charges during an audit or dispute.

Risks and Consequences of an Incorrect Document

Contract Disputes: Breach claims and withholding
Tax Exposure: Incorrect sales tax reporting
Penalties: Regulatory fines possible
Payment Delays: Invoices disputed or rejected
Reputational Harm: Partner relationship strain
Enforcement Issues: Signature defects risk invalidation

Key Dates to Track When Executing a Markup Agreement

Delivery of Pricing Schedules:

Set a cut-off date for scheduled price updates and notices

Invoice Submission Window:

Payment Due Date:

Specify net terms and late fee triggers

Record Retention Start:

Date retention obligations begin for audit purposes

Milestones: From Negotiation to Renewal

Track discrete milestones from contract drafting through ongoing price updates and renewal to maintain compliance and operational continuity.

01

Negotiation

Finalize markup formulas and exclusions before signature

02

Execution

Obtain authorized signatures and retain audit trail

03

Practical Tips for Accurate and Efficient Completion

Apply these practices to reduce errors, speed approvals, and make enforcement straightforward.

Use Clear Formulas
Define markups with precise formulas and include examples to avoid differing interpretations and billing discrepancies later.

Record Signer Authority
Capture signer title, capacity, and an attached corporate resolution when authority is delegated for enforceability.
Preserve the Audit Trail
Retain signed PDFs plus certificates of completion showing timestamps, IP addresses, and authentication method.
