BUSINESS MASTER SERVICE AGREEMENT

This Master Service Agreement ("Agreement") is entered into as of by and between Service Provider Name: whose principal place of business is , and Client Name: whose principal place of business is .

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional services, including but not limited to consulting, technical implementation, and related deliverables described herein; and

WHEREAS, Client desires to retain Service Provider to perform services pursuant to the terms and conditions set forth in this Agreement, and Service Provider is willing to provide such services on the terms set forth below; and

WHEREAS, the parties intend that this Agreement provide the general terms and conditions that will govern the performance of services and any statements of work entered into under this Agreement.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Service Provider for the services and deliverables as follows.

TERM AND TERMINATION

This Agreement will commence on and continue until unless earlier terminated in accordance with this Agreement.

CONFIDENTIALITY

Each party (the "Recipient") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Discloser") except as required to perform under this Agreement. Confidential Information includes non-public business, technical, and financial information disclosed in any form. The Recipient shall: (a) use Confidential Information only to perform its obligations hereunder; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) restrict disclosure to employees, contractors or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein.

INTELLECTUAL PROPERTY

Unless otherwise agreed in a written Statement of Work, Service Provider retains ownership of its pre-existing intellectual property and tools ("Background IP"). Client shall own all right, title and interest in custom deliverables created specifically for Client under this Agreement upon full payment for such deliverables. Service Provider grants Client a non-exclusive, worldwide, royalty-free license to use any Background IP solely as embedded in the deliverables to the extent necessary for Client's use of the deliverables. The parties shall document any deviations to this default allocation in a Statement of Work.

INDEMNIFICATION AND LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of representations, warranties or obligations under this Agreement. The indemnified party shall promptly notify the indemnifying party of any claim and cooperate in the defense at the indemnifying party's expense.

Except for liability arising from breach of confidentiality, willful misconduct, fraud, or indemnification obligations, neither party shall be liable to the other for consequential, special, incidental or punitive damages. The aggregate liability of each party for any claim arising out of this Agreement shall be limited to the cap set forth above.

INSURANCE

Service Provider shall maintain commercial general liability insurance and professional liability/errors & omissions insurance with limits reasonable for the services provided. Upon request, Service Provider will provide certificates of insurance evidencing such coverage.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law rules.

NOTICES

Notices shall be in writing and deemed given when delivered in person, sent by nationally recognized overnight courier, or by certified mail, return receipt requested, to the addresses set forth above or to such other address as a party may specify in writing.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all assets. Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both parties. Severability: If any provision is held invalid, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement, together with any incorporated Statements of Work and Appendices, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.
