Recitals

WHEREAS, Client engages Provider to perform professional services and deliverables described herein, and Provider has the skill and expertise to provide such services under the terms set forth in this Agreement.

WHEREAS, the parties intend to establish a governing framework for recurring or project-based services, including payment, confidentiality, termination, and dispute resolution provisions.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Provider shall perform the services in a professional and workmanlike manner in accordance with industry standards. Deliverables shall be accepted by Client only upon satisfaction of the acceptance criteria set forth in the Scope of Work or otherwise agreed in writing.

Payment Terms

Provider shall submit invoices in accordance with the Payment Schedule. Client shall pay undisputed invoices within days of receipt. Payments shall be made in the currency specified in the invoice unless otherwise agreed in writing.

Any undisputed amount not paid when due shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. Client shall also be responsible for reasonable costs of collection, including attorneys' fees.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice. In the event of material breach by either party, the non-breaching party may terminate this Agreement upon written notice if the breach is not cured within days after receipt of notice describing the breach in reasonable detail.

Upon termination, Client shall pay Provider for all services performed and expenses reasonably incurred through the effective date of termination, subject to any offsets for amounts owed by Provider to Client.

Confidentiality

Definition: "Confidential Information" means nonpublic information disclosed by one party (Discloser) to the other (Recipient) either directly or indirectly in writing, orally, or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to business plans, financial data, trade secrets, and customer lists.

Nonuse and Nondisclosure: Recipient shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure of Confidential Information to those employees, agents, or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure.

Exclusions: Confidential Information does not include information that (i) is or becomes publicly available without breach of this Agreement, (ii) was rightfully known to Recipient prior to disclosure, (iii) is rightfully received from a third party without restriction, or (iv) is independently developed without use of Discloser's Confidential Information.

Remedies: The parties acknowledge that monetary damages may be inadequate for breach of confidentiality obligations and that the Discloser may seek specific performance, injunctive relief, and any other remedies available at law or in equity.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes by negotiation; if unresolved within 30 days, either party may pursue any available legal or equitable remedies in the courts of that State.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control, provided the assignee assumes all obligations herein.

Amendment: This Agreement may be amended only by a written instrument signed by duly authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

Entire Agreement

This Agreement, including all exhibits and statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to such subject matter.
