What the Business Match Document Is and When it’s Used

A Business Match Document is a structured form used to confirm and record a verified match between two commercial parties for purposes such as vendor onboarding, partnership introductions, supplier qualification, or client referrals. It captures key identifiers, contact details, scope of the match, and any conditions or fees that govern the relationship. The document is typically exchanged between business development, procurement, or legal teams and becomes part of the contracting or vendor file when both parties sign.

Why a Clear Business Match Document Matters

A well-prepared Business Match Document reduces ambiguity about roles, timing, and compensation, supports audits, and creates a record that can be enforced if disputes arise. For interstate transactions, electronic signatures executed under the ESIGN Act (15 U.S.C. ch. 96) and state UETA frameworks generally make electronically signed matches legally enforceable.

Why a Clear Business Match Document Matters

Who typically completes and relies on this form

The Business Match Document is used by business development, procurement, legal, finance, and third‑party referral partners to document an introduced relationship and any associated terms.

  • Business Development teams ensuring accurate prospect or partner details for follow-up and attribution.
  • Procurement or vendor managers verifying supplier qualifications, contact data, and onboarding triggers.
  • Finance or accounting confirming referral fees, commission schedules, or payment milestones.

In small organizations these roles may overlap; larger enterprises usually assign ownership to a single team to maintain version control and approvals.

Typical signers and approvers

Director of Business Development

Signs to confirm the introduction, provide contact verification, and accept any referral terms. They must ensure the counterpart information matches CRM records and that commission terms are recorded accurately for finance.

Vendor Onboarding Manager

Approves supplier details, confirms documentation completeness, and signs to trigger the onboarding workflow. Their signature usually authorizes setup in procurement and initiates any required vetting checks.

Core elements every professional Business Match Document should include

A complete Business Match Document organizes identity, contact, business scope, financial terms, authentication, and next steps so signers and downstream teams can act without clarifying follow-up.

Party Identification

Legal entity name, DBA if any, and taxpayer identification where required to enable payment or tax reporting.

Primary Contact

Full name, role, email, phone, and physical address for both parties to support notices and onboarding.

Scope of Match

Clear description of the introduction, services or goods anticipated, geographic limits, and exclusions where applicable.

Compensation Terms

Referral or commission rate, payment triggers, invoicing instructions, and any holdbacks or clawback provisions.

Effective and Expiry Dates

The effective date and any expiration or review triggers that define the period the match covers.
