This Business Materials Document (the Agreement) is entered into by and between Client Name: and Provider Name: (each a Party and collectively the Parties) as of the Effective Date set forth below.

WHEREAS

WHEREAS, Provider possesses certain business materials, records, designs, documentation, digital files, prototypes, samples, and other tangible and intangible items described herein (Materials) that are required by Client for evaluation, integration, or other commercial purposes; and

WHEREAS, Client desires to receive, use, evaluate, or otherwise possess the Materials from Provider for the Purpose defined in this Agreement and Provider is willing to deliver or make available the Materials under the terms and conditions set forth below; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the Parties agree as follows:

Client shall pay Provider for the Materials and services as follows:

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement upon material breach by the other Party if such breach is not cured within the notice period specified above. Termination shall not relieve Client of payment obligations for Materials already delivered or for services rendered prior to termination.

CONFIDENTIALITY

The Parties acknowledge that the Materials may contain Confidential Information. "Confidential Information" means non-public information disclosed by one Party to the other, whether written, oral, electronic, or embodied in the Materials, including business plans, technical data, product designs, prototypes, trade secrets, and customer lists. Each Party shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely for the Purpose set forth in the Scope of Work; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors with a need to know who are bound by substantially similar confidentiality obligations. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years except with respect to trade secrets, which shall survive for so long as such information qualifies as a trade secret under applicable law.

OWNERSHIP; LICENSE; RETURN

Unless expressly stated in writing signed by both Parties, Provider retains all right, title, and interest in and to the Materials. Provider grants Client a non-exclusive, non-transferable, revocable license to use the Materials solely for the Purpose. Upon expiration or termination, Client shall, at Provider's election, promptly return or certify destruction of the Materials and all copies thereof, except where retention is required by applicable law or solely for archival compliance.

RISK OF LOSS; INSURANCE

Risk of loss to physical Materials while in transit shall be borne by the delivering Party unless otherwise agreed in writing. If Materials are delivered to Client's premises, Client assumes risk of loss upon receipt and shall maintain appropriate insurance as required below.

INDEMNIFICATION

Each Party (Indemnifying Party) shall indemnify, defend, and hold harmless the other Party (Indemnified Party) from and against any third-party claims, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of this Agreement, negligence, willful misconduct, or alleged infringement attributable to Materials supplied by the Indemnifying Party.

GOVERNING LAW

The Agreement shall be governed by and construed in accordance with the laws of the state specified above without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the federal and state courts located in that state for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and representations, whether written or oral. Any modification or waiver must be in writing and signed by both Parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other Party, except to an acquirer of substantially all assets or equity.
