What the Business MCFA Template Is and When It Applies

The Business MCFA Template is a standardized commercial agreement used to document the material terms of a master commercial financing arrangement between business parties. It sets out parties, scope of financing, payment schedule, security interests, representations and warranties, covenants, default remedies, and signature blocks. The template is adaptable for use where recurring funding or multiple draws are expected under one governing contract and is intended to reduce drafting time while preserving key commercial protections.

Why Use a Standardized Business MCFA Template

A consistent template helps ensure key commercial, security, and compliance terms are present, reduces negotiation overhead, and provides a repeatable structure for multiple transactions or draws under a single master agreement.

Why Use a Standardized Business MCFA Template

Who Typically Prepares and Signs a Business MCFA

Use the template as a baseline, then adapt jurisdiction-specific provisions, collateral descriptions, and signature requirements before execution.

  • Lenders and underwriters that need standardized draw and collateral terms for many borrowers
  • Corporate finance or treasury teams managing revolving credit, receivables financing, or purchase-order funding
  • Legal and compliance teams that must document security interests and regulatory disclosures

Step-by-Step: Completing the Business MCFA Template

Follow these steps in order to prepare, review, and execute the template accurately.

  • 01
Gather Documents: Collect formation docs, financial statements, and collateral schedules before drafting.
  • 02
Populate Core Fields: Enter parties, effective date, funding limits, and payment terms.
  • 03
Legal Review: Have counsel review security language, UCC attachment, and governing law.
  • 04
Execute and Record: Sign with required authentication and file UCC-1 or other notices as needed.

Typical Routing and Submission Flow for an MCFA

The following sequence shows how the template moves from drafting to final execution and storage.

  • Draft: Originator completes base template and attaches exhibits.
  • Internal Review: Finance and legal review for risks, limits, and compliance.
  • Signatures: Parties sign electronically or in-person per authentication requirements.
  • Record and Distribute: File UCC-1 if applicable and share final executed copies to stakeholders.

Configuring an Online Workflow for the Business MCFA

Set up a repeatable digital workflow so each new MCFA instance follows the same review and execution steps.

Field Configuration
Signer Order Sequential or parallel routing based on internal approval thresholds
Authentication Email link, SMS code, or stronger KBA for high-value transactions
Required Attachments Enforce upload of exhibits, financial statements, and collateral schedules
Audit Trail Capture timestamps, IP addresses, and signer actions for compliance

Technical and Integration Requirements for eSigning an MCFA

Choose an eSignature platform that supports templates, conditional fields, secure storage, and required integrations for your business systems.

  • Document Formats: PDF, DOCX accepted; preserve originals for records
  • Integrations: Connectors to NetSuite, Salesforce, Google Workspace, and Box simplify data flow
  • Security Controls: TLS in transit, AES-256 at rest, and audit logs required

Core Components to Include in Every Business MCFA

A professional MCFA should explicitly cover the following elements to reduce ambiguity and support enforcement.

Parties

Full legal names, entity types, and primary addresses for each contracting party; include EIN or registration details when required.

Scope of Financing

Purpose of funds, permitted uses, maximum aggregate commitments, and draw mechanics for each advance.

Rep & Warranties

Statements about authority, solvency, title to collateral, and absence of undisclosed liens to support remedies.

Security and Collateral

Detailed collateral descriptions, priority mechanics, and required filings (UCC-1) if applicable.

Default and Remedies

Trigger events, cure periods, acceleration, and set-off rights to clarify enforcement steps.

Governing Law & Dispute Resolution

Choice of law, venue, and whether arbitration or courts will resolve disputes.

Supporting Documents and Exhibits to Attach

Attach these exhibits to make the MCFA operational and enforceable without separate follow-ups.

Collateral Schedule

Itemize accounts, equipment, inventory, or IP claimed as security and include serial numbers or account identifiers.

Payment/Draw Schedule

Define draw mechanics, funding windows, and required documentation per draw to streamline processing.

Compliance Certificates

Attach board resolutions, organizational documents, and any required regulatory consents or waivers.

Guaranty or Subordination

If applicable, include signed guaranty or intercreditor terms that affect priority and cure rights.

Practical Tips for Accurate and Efficient MCFA Completion

These practical practices reduce errors, speed approvals, and preserve enforceability.

Use Standardized Templates
Start from a vetted template and centralize change control to avoid inconsistent clauses across deals.
Validate Signer Authority
Confirm signatory authority with corporate resolutions or officer certificates before accepting signatures.
Keep Collateral Descriptions Specific
Precise descriptions simplify UCC filings and reduce challenges to priority in enforcement.
Preserve an Audit Trail
Retain timestamps, IP logs, and executed copies to support attribution and compliance.

Key Dates and Typical Deadlines to Track

Track these common timing points to maintain compliance and meet funding expectations.

Execution Date:

Date parties sign; often different from effective date

Effective Date:

When rights and obligations commence; enter as MM/DD/YYYY

Funding Window:

Number of days from draw request to funding (contractual)

Notice Periods:

Time allowed for cure before remedies (e.g., 10–30 days)

UCC Filing Deadline:

File promptly after execution to protect priority

Milestones from Draft to Fully Enforced MCFA

A sequential milestone map helps teams coordinate drafting, review, execution, and recording.

01

Draft and Internal Approvals

Prepare the template, obtain finance and legal sign-offs before external circulation.

02

Counterparty Review

Negotiate commercial terms and collateral descriptions with the counterparty.

03

Execution and Authentication

Complete signatures with required authentication methods and record signer metadata.

04

Recordings and Notices

File UCC-1, send copies to stakeholders, and update internal systems for monitoring.

Security and Compliance Controls to Expect for Electronic MCFAs

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Audit Trail: Complete action logs with timestamps and IP addresses
Certifications: SOC 2 Type II available on request
Regulatory: ESIGN and UETA compliance for enforceability
Healthcare: HIPAA compliance available with BAA
FDA/Pharma: 21 CFR Part 11 controls supported when required

Consequences of Errors or Missing Information in an MCFA

Filing Delay: Priority risk for secured creditor
Name Mismatch: UCC-1 errors can invalidate security interest
Missing Signature: Agreement may be unenforceable
Incorrect Dates: Affects effective and limitation periods
Noncompliance: Possible regulatory penalties
I-9 Errors: Penalty range $281–$2,789 per violation (8 CFR §274a.2)

Common Preparation Pitfalls to Avoid

  • Using informal or abbreviated party names that differ from formation records
  • Leaving collateral descriptions vague or incomplete for UCC filings
  • Failing to capture an enforceable signature method and audit trail metadata
  • Skipping internal approvals or failing to confirm signer authority
