BUSINESS MDC RENEWAL AGREEMENT

This Business MDC Renewal Agreement (the Agreement) is entered into as of by and between the following parties:

RECITALS

WHEREAS, Client and Service Provider previously entered into a Master Distribution/Service Contract concerning MDC services on or about (the Original Agreement); and

WHEREAS, the parties desire to renew and amend certain terms of the Original Agreement as set forth in this Agreement to continue provision of MDC services under the terms below.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

SCOPE OF WORK

The Service Provider will continue to provide MDC services as described in the Original Agreement. The renewed Scope of Work shall include the following specific services, deliverables, and performance standards.

PAYMENT TERMS

Client shall pay Service Provider the fees described below in consideration for the services performed under this Renewal Agreement. All payments are due in United States dollars and shall be made in accordance with the schedule set forth herein.

All invoices not disputed in writing within seven (7) days of receipt shall be deemed accepted. If Client fails to pay any undisputed amount when due, Service Provider may suspend performance upon five (5) days' prior written notice until payment is made in full.

TERM AND TERMINATION

The Term of this Renewal Agreement shall commence on and shall expire on , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receiving written notice of such breach.

Additionally, this Agreement may be terminated by either party for convenience upon days' prior written notice to the other party. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred through the effective date of termination.

The term will automatically renew for successive periods of unless either party provides written notice of non-renewal at least days prior to the then-current expiration date.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, pricing, technical data, business plans, customer lists, and trade secrets.

The Receiving Party shall (a) protect the Disclosing Party's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, agents, or subcontractors who have a legitimate need to know and who are bound by confidentiality obligations no less protective than those herein.

The obligations of confidentiality will continue during the Term and for a period of three (3) years following termination or expiration of this Agreement, except that trade secrets shall remain subject to protection for as long as they meet the legal definition of a trade secret.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, together with the Original Agreement to the extent not superseded herein, constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver of any breach shall constitute a waiver of any other or subsequent breach. The parties agree that monetary damages may be inadequate and that specific performance and injunctive relief are appropriate remedies for breach of confidentiality or other material provisions.
