WHEREAS

WHEREAS, Company provides goods and/or services related to the marketing, distribution, resale and management of certain products and desires to engage Reseller to undertake distribution, resale or managed distribution responsibilities in accordance with the terms set forth herein.

SCOPE OF WORK

PAYMENT TERMS

Invoicing: Reseller shall submit itemized invoices documenting all amounts due. Company shall pay undisputed amounts within days of receipt of a proper invoice.

TERM AND TERMINATION

Term: This Agreement shall commence on and, unless earlier terminated as provided herein, shall continue until .

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Termination for Convenience: Either party may terminate this Agreement without cause upon providing days' prior written notice to the other party.

CONFIDENTIALITY

Each party (the Recipient) shall keep confidential all non-public information disclosed by the other party (the Discloser) in connection with this Agreement, including business, technical and financial information ("Confidential Information"). Recipient shall not use Confidential Information except to perform its obligations under this Agreement and shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care.

Exclusions: Confidential Information does not include information that (a) is or becomes publicly known other than through breach of this Agreement; (b) was rightfully in Recipient's possession prior to disclosure; (c) is rightfully received from a third party having no confidentiality obligations; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

Duration: The obligations set forth in this section shall survive termination of this Agreement for a period of years, except with respect to trade secrets, for which the obligations shall continue as long as such information remains a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing signed by authorized representatives of both parties.

MISCELLANEOUS

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, employment or franchise relationship between the parties.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's breach of this Agreement, gross negligence or willful misconduct, subject to the indemnified party providing prompt written notice and reasonable cooperation in the defense.
