Confidentiality

"Confidential Information" means any non-public business, technical, financial or strategic information disclosed by one party to the other that is marked confidential or would reasonably be considered confidential. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose it to third parties except employees, agents or contractors on a need-to-know basis who are bound by confidentiality obligations; and (c) use Confidential Information solely for purposes of the meeting and follow-up actions described in the Scope of Work. This obligation shall survive termination of this Agreement for a period of two (2) years.
