What the Business Memo D&E Is and when it’s used

The Business Memo D&E is an internal corporate memorandum that documents decisions, directives, and execution steps for a business initiative or operational change. It typically records background, recommended actions, assigned responsibilities, timelines, and required approvals. Organizations use this memo to create a clear, auditable trail from decision through execution, ensuring stakeholders share a single authoritative record. The memo is formatted for review by managers, legal, finance, and operations and may accompany supporting exhibits such as budgets, policy language, or compliance checklists.

Why the Business Memo D&E matters for governance and execution

A clear Business Memo D&E centralizes the decision rationale, assigns accountability, and documents execution steps so teams can act consistently and measure progress. Properly completed memos reduce ambiguity, support regulatory or audit requests, and preserve a defensible record of who authorized actions and when.

Why the Business Memo D&E matters for governance and execution

Who typically prepares and approves a Business Memo D&E

Teams that draft or sign the memo vary by company size and function; common participants are listed below.

  • Department heads and project managers who propose actions and draft the memo for review and sign-off.
  • Legal and compliance reviewers who confirm regulatory, contract, and data-protection implications before approval.
  • Finance and budget owners who validate costs, funding sources, and accounting treatment tied to the memo.

Tailor signatory and reviewer roles to your organization’s approval matrix to avoid delays and ensure legal oversight where required.

Core sections to include in a professional Business Memo D&E
