Confidentiality

For purposes of this revision, "Confidential Information" means non-public information disclosed by one party to the other in connection with the revision, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. Recipient shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information only to perform obligations under this revision; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that: (i) is or becomes generally available to the public through no fault of Recipient; (ii) was rightfully in Recipient's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed without use of the disclosing party's Confidential Information. Disclosure required by law or valid subpoena shall be made only after prompt notice to the disclosing party, to the extent permitted by law, and assistance in seeking protective measures.

Governing Law; Dispute Resolution
