GENERAL BUSINESS AGREEMENT

This General Business Agreement (the "Agreement") is entered into as of by and between the parties identified below.

PARTIES

RECITALS

WHEREAS, Provider possesses the expertise, personnel and resources to perform the services described in this Agreement; and

WHEREAS, Client desires to engage Provider to perform such services, and Provider is willing to provide such services subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

SCOPE OF WORK

Provider shall perform the services described below (the "Services"). Provider shall use commercially reasonable efforts, consistent with industry standards, to perform the Services in a timely and professional manner.

PAYMENT TERMS

Client shall pay Provider for the Services in accordance with the following payment terms.

All amounts are payable in United States Dollars unless otherwise agreed in writing. Client shall be responsible for any taxes, duties or similar charges imposed in connection with the Services, except for taxes based on Provider's net income.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days following written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performing this Agreement it may receive or have access to Confidential Information of the other party. "Confidential Information" means non-public information disclosed in written, electronic or oral form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving party shall: (a) hold the disclosing party's Confidential Information in strict confidence; (b) not disclose such Confidential Information to any third party except as expressly permitted herein; and (c) use such Confidential Information solely to perform its obligations under this Agreement. The foregoing obligations shall not apply to information that: (i) is or becomes generally available to the public without breach of this Agreement; (ii) was known to the receiving party prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved in the courts located in that state, and each party consents to the exclusive jurisdiction and venue of such courts.

ENTIRE AGREEMENT

This Agreement, including any attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any right or remedy under this Agreement shall not constitute a waiver of such right.
