BUSINESS MEMO TOOLS AGREEMENT

This Agreement is entered into as of by and between Provider Name: ("Provider") and Client Name: ("Client").

WHEREAS

WHEREAS, Provider develops, licenses and provides business memo templates, drafting aids, workflow checklists and related digital tools designed to standardize internal and external business memoranda (collectively, "Business Memo Tools"); and

WHEREAS, Client desires to acquire from Provider a license and certain services for use and customization of the Business Memo Tools under the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Deliverables include, without limitation, editable memo templates, user guidance documentation, formatting macros, and any agreed customizations. Provider will deliver drafts for Client review according to the schedule in the payment and milestones section below. Client shall test and provide written acceptance or a list of defects within the acceptance period set forth in the scope.

PAYMENT TERMS

Invoices are due within days of invoice receipt. Amounts unpaid after the due date accrue interest at per month (or the highest rate permitted by law, if lower). In addition to interest, Client will reimburse Provider for reasonable collection costs and attorneys' fees incurred in enforcing payment obligations.

TERM AND TERMINATION

This Agreement commences on the Start Date: and continues until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Either party may terminate without cause upon days' prior written notice. Upon termination, Client shall pay Provider for all work performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by either party relating to business operations, processes, pricing, templates, source materials, code, or Client-specific data, whether disclosed orally, visually, in writing or electronically. Confidential Information does not include information that (i) is or becomes publicly known through no breach by the receiving party; (ii) is rightfully received from a third party without breach of any obligation of confidentiality; (iii) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (iv) is required to be disclosed by law or court order, provided the receiving party gives prompt notice to the disclosing party and cooperates to limit the scope of required disclosure.

The receiving party shall use Confidential Information solely for the performance of this Agreement, shall restrict access to those employees or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein, and shall apply at least reasonable care to prevent unauthorized disclosure. Confidentiality obligations survive termination for years.

INTELLECTUAL PROPERTY AND LICENSES

Provider retains all right, title and interest in and to the Business Memo Tools, including all source materials, templates, improvements and derivative works. Provider grants to Client a non-exclusive, non-transferable, non-sublicensable license to use the delivered templates and tools for Client's internal business purposes only, subject to payment in full and compliance with this Agreement. Client shall not reverse engineer, decompile, reproduce for resale, or otherwise exploit Provider's Tools beyond the scope of the license granted herein.

LIMITATION OF LIABILITY; WARRANTY

Provider warrants that the services will be performed in a professional manner consistent with industry standards. Except as expressly provided in this Agreement, Provider disclaims all other warranties, express or implied. In no event shall Provider's aggregate liability arising out of or related to this Agreement exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) months preceding the claim. Neither party shall be liable for incidental, consequential, special or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or statements of work attached hereto and any written amendments executed by authorized representatives of both parties, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations and agreements, whether written or oral. Any modification must be in writing and signed by both parties.

NOTICES

ADDITIONAL PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets or business.

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment relationship, or agency.
