BUSINESS METRO DOCUMENT

Parties

Recitals

WHEREAS, Client Name: desires to retain certain business services; and

WHEREAS, Service Provider Name: represents that it has the experience and capacity to provide such services under the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows.

Scope of Work

Service Provider shall perform the services and deliverables described below in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

Client shall pay Service Provider the fees described below in consideration for the performance of the Scope of Work. All fees are exclusive of taxes unless otherwise stated.

Any amount not received within days after the due date shall accrue interest at (or the maximum rate permitted by law), plus reasonable collection costs.

Term and Termination

This Agreement shall commence on the Start Date: and continue until the End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate immediately upon written notice for material breach if such breach remains uncured for a period of thirty (30) days following receipt of notice of such breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination, and Service Provider shall deliver any completed or partially completed work products in accordance with the acceptance provisions set forth in the Scope of Work.

Confidentiality

Each party (the "Receiving Party") shall maintain in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that ought reasonably to be understood to be confidential. Confidential information shall not include information that (i) is or becomes publicly available other than through a breach of this Agreement; (ii) was rightfully in the Receiving Party's possession prior to disclosure; (iii) is independently developed without use of the Disclosing Party's confidential information; or (iv) is rightfully obtained from a third party without restriction.

The Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall continue for a period of years following termination of this Agreement, except with respect to trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

Intellectual Property and Deliverables

Unless otherwise agreed in writing, all deliverables specifically prepared for Client under this Agreement shall be the sole and exclusive property of Client upon full payment of all fees due. Service Provider hereby assigns to Client all right, title, and interest in such deliverables. Service Provider retains ownership of its pre-existing materials and tools, and grants Client a nonexclusive, perpetual license to any pre-existing materials incorporated into deliverables to the extent necessary for Client's use of the deliverables.

Representations, Warranties and Indemnification

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement. Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Service Provider shall indemnify and hold harmless Client from claims arising from Service Provider's negligence, willful misconduct, or material breach of this Agreement, subject to any limitations of liability set forth herein.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising under or related to this Agreement.

Entire Agreement; Amendment

This Agreement, including the Scope of Work and any attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
