Business MG Document

This Business Management Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Manager Name: . The parties agree as follows.

WHEREAS

WHEREAS, Client requires management, advisory and operational services in connection with the Client's business activities and assets; and

WHEREAS, Manager has the experience and capability to provide such services and is willing to provide those services pursuant to the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows.

Scope of Work

Manager shall provide management and advisory services as described below. Manager shall perform its duties in a professional manner consistent with industry standards and in accordance with the timelines agreed in writing by the parties.

Payment Terms

Client shall compensate Manager according to the schedule and amounts set forth below. All fees are payable in United States dollars unless otherwise agreed in writing. Manager shall submit invoices in accordance with the Payment Schedule and Client shall pay undisputed amounts within the Payment Due Days specified below.

Invoices shall contain reasonable supporting detail. Undisputed payments not made when due shall incur the Late Fee, and Client shall also be responsible for Manager's reasonable costs of collection, including attorneys' fees. Expenses pre-approved in writing by Client shall be reimbursed upon presentation of receipts.

Term and Termination

The term of this Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above. Either party may terminate without cause upon providing the notice specified above. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential. Each recipient shall (a) use Confidential Information only to perform its obligations under this Agreement; (b) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (c) not disclose Confidential Information to any third party except as necessary to perform under this Agreement or as required by law (provided the recipient gives prompt notice and cooperates to seek protective measures). Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets, which shall be protected for so long as they qualify as trade secret under applicable law.

Intellectual Property and Work Product

Unless otherwise agreed in writing, all tangible work product, reports and deliverables specifically created by Manager for Client under this Agreement shall be considered "Work Product" and ownership shall vest in Client upon full payment. Manager grants Client a perpetual, worldwide, royalty-free license to use any pre-existing Manager materials incorporated in the Work Product to the extent necessary to use the Work Product. Manager retains the right to use general knowledge, skills and experience acquired in performing the services so long as no Confidential Information or Client proprietary materials are disclosed or used.

Limitation of Liability

Except in the case of liability arising from willful misconduct or gross negligence, neither party shall be liable for incidental, consequential, indirect, special or punitive damages arising out of or related to this Agreement. The aggregate liability of either party for all claims arising under this Agreement shall not exceed the total fees paid by Client to Manager in the twelve (12) month period preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to that State's conflict of laws principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in the agreed jurisdiction.

Entire Agreement

This Agreement, including any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person, sent by certified mail, return receipt requested, or by nationally recognized overnight courier to the addresses set forth below or such other addresses as either party may designate in writing.
