Scope of Work

Payment Terms

All amounts are stated in lawful currency. Unless otherwise provided, Client shall be responsible for any applicable sales or withholding taxes arising from payments hereunder. Contractor shall submit invoices that reasonably itemize fees and reimbursable expenses. Client shall pay undisputed amounts within the period set forth above.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured thirty (30) days after written notice specifying the breach. Either party may terminate for convenience upon the notice period specified above. Upon termination, Client shall pay Contractor for services performed and approved expenses incurred through the effective date of termination, subject to setoff for any amounts owed by Contractor to Client.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that, by its nature, would reasonably be understood to be confidential. Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party except as required by law or as necessary to perform under this Agreement, and only after obtaining written assurance from the recipient to maintain confidentiality consistent with this Agreement.

The obligations in this section do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is lawfully obtained by the receiving party from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information. Upon request, the receiving party shall return or destroy Confidential Information as directed by the disclosing party, except that one copy may be retained for legal or archival purposes subject to continued confidentiality obligations.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement; Miscellaneous

This Agreement, together with any written amendments and attachments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No modification to this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Contractor is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. Each party shall comply with applicable laws and indemnify the other for claims arising from its breach of this Agreement or its negligent or willful acts or omissions.
