BUSINESS MINDSET TEMPLATE

This Business Mindset Template (the "Agreement") is entered into by the parties identified below on the Effective Date. Client Name: and Consultant Name: . Effective Date: .

WHEREAS

WHEREAS, Client seeks to adopt a defined business mindset framework and supporting strategic guidance to improve decision-making, accountability, and performance; and

WHEREAS, Consultant possesses expertise in business strategy, behavioral change methodologies, and coaching techniques and agrees to deliver services described herein under the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows.

SCOPE OF WORK

Consultant will provide services to define and implement a Business Mindset framework tailored to Client's organization. The parties agree the core elements include mindset assessment, goal alignment, habit and routine design, decision-making protocols, and a measurement dashboard. Specific deliverables and milestones are set forth below.

PAYMENT TERMS

Client shall pay Consultant for services rendered in accordance with the schedule below. All amounts are payable in lawful currency and are exclusive of applicable taxes unless otherwise stated.

Late payment shall accrue interest at (or the maximum permitted by law, if lower) on overdue balances from the invoice due date until paid. Consultant may suspend performance for payments more than days past due after written notice.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach if the breaching party fails to cure within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Consultant for all services performed and expenses reasonably incurred through the effective date of termination. Sections that by their nature survive termination shall so survive, including payment obligations and confidentiality.

CONFIDENTIALITY

"Confidential Information" means non-public business or technical information disclosed by either party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) is or becomes publicly available without breach; (b) is rightfully received from a third party without obligations of confidentiality; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt written notice and cooperates with reasonable measures to protect secrecy.

Receiving party shall: (i) use Confidential Information only to perform obligations under this Agreement; (ii) restrict disclosure to employees, agents, or contractors who have a need to know and are bound to confidentiality obligations at least as protective as these; and (iii) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but not less than reasonable care. Remedies for breach include injunctive relief, specific performance and recovery of damages.

INTELLECTUAL PROPERTY AND USE OF MATERIALS

Unless otherwise agreed in writing, Consultant retains ownership of pre-existing methodologies, tools, templates, and intellectual property used or developed by Consultant prior to or independently of this Agreement. Client is granted a limited, non-exclusive, non-transferable right to use deliverables for Client's internal business purposes following full payment. Any transfer of ownership or broad license shall be documented in a separate written agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law provisions. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any dispute arising under this Agreement.

REPRESENTATIONS; LIMITATION OF LIABILITY

Each party represents that it has the authority to enter into this Agreement. Consultant warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. CONSULTANT'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO CONSULTANT UNDER THIS AGREEMENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing.
