Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Termination for material breach that remains uncured for a period of days shall be immediate upon notice.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, and marketing information disclosed in any form. The receiving party shall (a) hold such information in strict confidence, (b) not disclose it to any third party except to employees, contractors or advisors who have a need to know and who are bound to confidentiality obligations, and (c) use it solely to perform under this Agreement. These obligations shall continue during the term and for years after termination, except where disclosure is required by law and then only after reasonable notice to the disclosing party to seek protective measures.

Intellectual Property; Deliverables

Unless otherwise agreed in writing, Provider assigns to Client all right, title and interest in Deliverables created specifically under this Agreement upon full payment. Provider retains ownership of its pre-existing materials, tools, methodologies, templates and know-how; Client is granted a nonexclusive, nontransferable license to use such pre-existing materials only to the extent embedded in the Deliverables.

Representations and Warranties; Indemnity

Each party represents that it has full corporate power and authority to enter into this Agreement. Provider represents that the Services will be performed in a professional manner consistent with industry standards. Each party shall indemnify and hold harmless the other from third-party claims arising from the indemnifying party's breach of representations, willful misconduct, or negligence, subject to limits agreed in writing.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, or breaches of confidentiality or intellectual property obligations, neither party shall be liable for indirect, incidental, special, or consequential damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid to Provider under this Agreement during the twelve (12) month period preceding the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Parties shall attempt in good faith to resolve disputes through negotiation and, if unsuccessful, through mediation prior to initiating any litigation.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals and understandings, whether written or oral. No modification or waiver of any provision shall be effective unless made in a writing signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be effective upon receipt.
