BUSINESS MMR DOCUMENT

This Business MMR Document (the Agreement) is entered into by and between:

WHEREAS

WHEREAS, Client wishes to engage Service Provider to provide monthly management and monitoring reports and related business metrics tracking (collectively, the Services) in accordance with the terms and conditions set forth herein; and

WHEREAS, Service Provider represents that it has the professional expertise, personnel and resources necessary to perform the Services and will deliver reports, analysis and recommendations as described in the Scope of Work; and

WHEREAS, the parties desire to set forth herein their mutual agreement with respect to the Services, compensation and other terms governing their relationship.

SCOPE OF WORK

Service Provider shall perform the Services as described below. Deliverables shall include monthly management reports (MMR) covering agreed metrics, analysis, variance explanations and actionable recommendations. Additional tasks, deadlines and acceptance criteria are described in the Scope of Work.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the Services. Fees are exclusive of applicable taxes unless otherwise stated.

If Client disputes any invoiced amount in good faith, Client shall provide written notice describing the dispute within ten (10) days of receipt of the invoice and the parties shall attempt to resolve the dispute promptly. Failure to timely dispute an invoice shall constitute acceptance of the invoice.

TERM AND TERMINATION

The term of this Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the nature of the breach. Termination shall not relieve Client of its obligation to pay for Services performed prior to the effective date of termination.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party). "Confidential Information" includes business plans, financial information, trade secrets, client data, and other non-public information disclosed in connection with the Services, but does not include information that is (i) publicly known through no breach of this Agreement, (ii) rightfully received from a third party without restriction, or (iii) independently developed by the Receiving Party.

The Receiving Party shall use Confidential Information solely for the performance of its obligations under this Agreement and shall take reasonable measures to prevent unauthorized disclosure. If the Receiving Party is required by law or valid subpoena to disclose Confidential Information, it shall provide prompt written notice to the Disclosing Party and, where permitted, cooperate in seeking confidential treatment or protective orders.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct or breach of its representations, warranties or obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and any statements of work executed hereunder, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets or corporate reorganization.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
