This Business Services Agreement (the "Agreement") is made effective as of by and between:

Recitals

WHEREAS, Party A is engaged in international business operations and requires specialized services to support its multinational commercial activities; and

WHEREAS, Party B represents that it possesses the personnel, facilities and expertise necessary to provide the services described in this Agreement, and agrees to provide such services under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services to be performed.

Scope of Work

Party B shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. Deliverables, milestones, and performance metrics shall be as described in the Scope of Work.

Payment Terms

In consideration for services rendered, Party A shall pay Party B the fees specified below in accordance with the schedule and conditions stated herein.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days of receipt of written notice specifying the breach.

Upon termination, Party B shall deliver to Party A all work in progress and all materials and confidential information of Party A in Party B's possession, and Party A shall pay Party B for all services performed through the effective date of termination in accordance with the Payment Terms.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all nonpublic, proprietary or confidential information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such information except as necessary to perform its obligations under this Agreement. Confidential information does not include information that: (a) is or becomes publicly known through no breach by the Receiving Party; (b) is received from a third party without breach of any obligation of confidentiality; or (c) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information.

The obligations of confidentiality shall continue for years following termination or expiration of this Agreement, provided that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

Indemnification and Insurance

Party B shall indemnify, defend and hold harmless Party A, its officers, directors and affiliates from and against any third-party claims, liabilities, losses, damages and expenses arising out of Party B's negligent acts, omissions or willful misconduct in the performance of services under this Agreement. Party B shall maintain insurance coverage appropriate to the services provided, including commercial general liability and professional liability insurance, in commercially reasonable amounts.

Compliance; Export Controls

Each party shall comply with all applicable laws, rules and regulations in performing its obligations under this Agreement, including export control, anti-corruption and sanctions laws. Each party represents that it is not subject to any sanction or trade restriction that would prohibit performance hereunder.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties shall attempt in good faith to resolve any dispute arising under this Agreement through negotiation; if unresolved, disputes may be submitted to the exclusive jurisdiction of the courts located in the governing jurisdiction.

Entire Agreement; Amendments

This Agreement, together with any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals and agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and delivery of this Agreement has been duly authorized by all necessary corporate action.
