BUSINESS MOD DOCUMENT

WHEREAS

WHEREAS, the parties previously entered into a written agreement titled dated (the "Original Agreement");

WHEREAS, the parties desire to modify certain terms of the Original Agreement as set forth in this Modification and to confirm that, except as expressly modified herein, the Original Agreement remains in full force and effect.

SCOPE OF WORK

PAYMENT TERMS

As consideration for the modified Scope of Work, Client shall pay Provider the amounts and in accordance with the schedule set forth below. All sums are payable in lawful currency of the United States unless otherwise agreed in writing.

Provider shall submit written invoices in accordance with the Payment Schedule. Unless otherwise stated, payment shall be due within thirty (30) days of invoice receipt. Client may dispute invoiced amounts in good faith; undisputed amounts shall remain payable when due.

TERM AND TERMINATION

The term of this Modification shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Modification for convenience upon delivery of written notice to the other party in accordance with the notice period above. Either party may terminate immediately upon written notice upon material breach by the other party that remains uncured for ten (10) days following receipt of written notice specifying the breach. Termination of this Modification shall not relieve either party of obligations that expressly survive termination.

CONFIDENTIALITY

For purposes of this Modification, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or which, under the circumstances, ought to be treated as confidential. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Modification; and (c) restrict disclosure of Confidential Information to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those contained herein.

Confidential Information does not include information that: (i) is or becomes publicly known through no breach of this Modification; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law, provided the disclosing party gives prompt written notice and cooperates to seek protective measures.

GOVERNING LAW

This Modification shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for resolution of disputes arising under this Modification.

ENTIRE AGREEMENT; AMENDMENT

This Modification, together with the Original Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations. To the extent of any conflict between the terms of the Original Agreement and this Modification, the terms of this Modification shall control. No amendment to this Modification shall be effective unless executed in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Each party represents and warrants that it has the requisite power and authority to enter into and perform this Modification. If any provision of this Modification is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and do not affect interpretation.

Execution of this Modification may be evidenced by electronic signature or in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
