BUSINESS MODEL PAPERWORK

This Business Model Agreement (the Agreement) is entered into as of between the parties set forth below.

Parties

WHEREAS

WHEREAS, Client desires to develop, validate and implement a business model for the Client's operations, including market positioning, revenue streams, cost structure, and go-to-market strategy (the Services); and

WHEREAS, Service Provider represents that it has the skill, experience and personnel necessary to provide advisory, analytical and drafting services required to develop the Services and deliverables described in this Agreement; and

WHEREAS, the parties intend that the Services and deliverables, together with payment terms and confidentiality protections, be governed by the terms set forth below.

Scope of Work

Service Provider shall perform the Services described below and deliver associated written and electronic deliverables in accordance with the milestones and acceptance criteria stated herein.

Payment Terms

In consideration for the Services, Client shall pay Service Provider the fees and expenses set forth below. Fees are exclusive of taxes unless expressly stated otherwise.

Late payments shall bear interest at the rate specified below from the date due until paid in full.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Upon termination, Client shall pay for Services performed and expenses reasonably incurred through the effective date of termination, subject to offset for any breach.

Confidentiality

Each party (Receiving Party) shall hold in confidence and not disclose or use any Confidential Information of the other party (Disclosing Party) except as necessary to perform under this Agreement. Confidential Information includes business plans, financials, models, customer lists, pricing, trade secrets and other nonpublic information.

The obligations in this section shall survive termination for a period of unless a longer period is required by applicable law.

Intellectual Property

Unless otherwise agreed in writing, Service Provider grants Client a perpetual, non-exclusive, worldwide license to use the deliverables produced specifically for Client under this Agreement. Pre-existing materials and general know-how of Service Provider remain the exclusive property of Service Provider. If parties elect assignment, specify ownership below.

Representations; Warranties; Indemnity

Each party represents and warrants that it has full power and authority to enter into this Agreement. Service Provider warrants that Services will be performed in a professional manner consistent with industry standards. Each party agrees to indemnify the other for losses arising from its willful misconduct, gross negligence, or material breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles.

Notices

All notices under this Agreement shall be in writing and delivered to the notice addresses set forth above or such other address as a party may designate by notice hereunder.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
