BUSINESS MODIFICATION ADDENDUM

This Business Modification Addendum ("Addendum") is made effective as of by and between Company Name: and Counterparty Name: .

WHEREAS

WHEREAS, the parties entered into the Reference Agreement identified above and desire to amend certain terms of that Agreement as set forth in this Addendum; and

WHEREAS, the parties intend that this Addendum be incorporated into and become part of the Reference Agreement and that all terms of the Reference Agreement not expressly modified remain in full force and effect.

MODIFICATION

Subject to the terms and conditions of the Reference Agreement and this Addendum, the parties hereby agree to modify the Reference Agreement as set forth in this Addendum. To the extent of any conflict between this Addendum and the Reference Agreement, the terms of this Addendum shall control.

PAYMENT TERMS

TERM AND TERMINATION

The modifications set forth in this Addendum shall become effective on the Start Date and shall continue in effect through the End Date unless earlier terminated in accordance with this Addendum or the Reference Agreement.

Either party may terminate this Addendum for material breach if the breaching party fails to cure such breach within the notice period set forth above after receipt of written notice. Termination of this Addendum shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

The parties acknowledge that in performing their obligations under this Addendum, each may obtain Confidential Information of the other. For purposes of this Addendum, Confidential Information means non-public business or technical information disclosed in connection with the Reference Agreement or this Addendum. Each party agrees to hold Confidential Information in strict confidence and to use it solely for performance under the Reference Agreement and this Addendum. The obligations of confidentiality shall survive termination or expiration of this Addendum for a period of three (3) years, except with respect to trade secrets, which shall be protected for so long as such information remains a trade secret under applicable law.

Designation of material as "Confidential" shall be made in writing at the time of disclosure. Notwithstanding the foregoing, Confidential Information does not include information that is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information, or is or becomes publicly available other than by breach of this Addendum.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT; NO OTHER MODIFICATIONS

Except as expressly modified hereby, all terms and conditions of the Reference Agreement shall remain in full force and effect. This Addendum, together with the Reference Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral, relating to such subject matter. No amendment to this Addendum shall be effective unless in writing and signed by both parties.

REPRESENTATIONS

Each party represents and warrants that: (a) it has full corporate power and authority to enter into this Addendum and to perform its obligations hereunder; and (b) the person signing this Addendum on its behalf is duly authorized to do so.

MISCELLANEOUS

Any notice required or permitted by this Addendum shall be in writing and delivered to the addresses set forth in the Reference Agreement or to such other address as either party may designate by notice to the other. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
