BUSINESS MODIFICATION DOCUMENT

This Business Modification Document (the Agreement) is made and entered into as of Effective Date: , by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, the Parties previously entered into that certain agreement titled dated (the Original Agreement); and

WHEREAS, the Parties desire to modify certain terms of the Original Agreement as set forth herein and to confirm that, except as expressly modified by this Agreement, all other terms and conditions of the Original Agreement remain in full force and effect.

SCOPE OF MODIFICATION

The Parties hereby agree to the following modifications to the Original Agreement. All modifications are intended to amend and control the Original Agreement only to the extent expressly stated below.

PAYMENT TERMS

As consideration for the modifications set forth above, the Parties agree the Client shall pay the Provider as set forth below.

All invoices are due in accordance with the Payment Schedule. Payments not received within the agreed period shall accrue the Late Payment Fee and collection costs, including reasonable attorneys' fees.

TERM AND TERMINATION

The modifications made by this Agreement shall become effective on the Effective Date set forth above and shall remain in effect until , unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for material breach of the Original Agreement or this Agreement if such breach remains uncured for the period specified above following written notice. Termination shall not relieve either Party of obligations accrued prior to termination.

CONFIDENTIALITY

Each Party acknowledges that in connection with the Original Agreement and this Agreement it may receive Confidential Information of the other Party. “Confidential Information” means non-public information that is designated as confidential or that reasonably should be understood to be confidential. Each Party shall: (a) use Confidential Information solely for the purposes of performing obligations under the Original Agreement as modified by this Agreement; (b) restrict disclosure to its employees, agents and contractors with a strict need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) not disclose Confidential Information to any third party without prior written consent, except as required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with the Original Agreement as modified hereby, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings relating to such subject matter. Any further modification or amendment to the Original Agreement or this Agreement must be in writing and signed by authorized representatives of both Parties.
