All confidential information exchanged in connection with the Original Agreement and this Modification shall remain subject to the confidentiality obligations set forth in the Original Agreement. If the Original Agreement did not contain confidentiality obligations, the parties agree that each party shall hold in confidence and not disclose or use except in performance of this Modification any non-public business, technical, financial or other proprietary information disclosed by the other party for a period of from the date of disclosure.

Governing Law

This Modification shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Modification.

Representations; No Other Amendments

Each party represents and warrants that it has the full corporate or organizational power and authority to enter into this Modification and that the person signing on its behalf is duly authorized. Except as expressly set forth in this Modification, the Original Agreement remains unchanged and in full force and effect.

Entire Agreement

This Modification, together with the Original Agreement and any exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating thereto.

Counterparts and Execution

This Modification may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.
